ROLE PURPOSE

The Treasurer and Company Secretary plays a key role in ensuring that the Daylight Centre Fellowship (DCF) meets its legal and regulatory obligations as both a registered charity and a company limited by guarantee.

Responsible for maintaining oversight of the charity’s financial affairs, ensuring its finances are well managed and supporting the Board in fulfilling its financial responsibilities. This role supports good governance by maintaining accurate statutory records, ensuring timely filings and enabling effective Board operations.

The position requires strong organisational skills, attention to detail and a commitment to upholding the charity’s values and compliance standards.

KEY RESPONSIBILITIES

Financial Oversight & Strategy

  • Ensure the charity operates within its financial means and complies with all financial policies and legal obligations.
  • Lead the Board and Finance Committee to understand the charity’s financial position, risks, and sustainability.
  • Contribute to the development and review of the charity’s financial strategy, budgets, and reserves policy.

Budgeting & Reporting

  • Oversee the preparation of annual budgets and long-term financial plans.
  • Present regular financial reports to the Board in an accessible and transparent manner.
  • Ensure appropriate accounting procedures and systems are in place and followed.
  • Support the preparation of the Annual Report and Accounts in accordance with the Charity Commission and relevant accounting standards.

Compliance & Governance

  • Ensure compliance with statutory financial reporting requirements, including submission to the Charity Commission and Companies House.
  • Monitor the charity’s financial risk-management processes.
  • Work with independent examiners to facilitate annual scrutiny of accounts.

Internal Controls & Financial Policies

  • Ensure effective financial controls are in place to safeguard the charity’s assets.
  • Ensure policies related to financial management, reserves, procurement, and expenses are reviewed and updated.
  • Specifically review the charity’s bank and investment balances monthly to ensure that cash flow is maintained in an efficient manner.
  • Specifically review the charity’s unrestricted reserves quarterly to ensure that they are in line with the Reserves policy.

Company Secretary Duties

  • Maintain the charity’s statutory registers, including directors/trustees, members and other legal records.
  • Notify Companies House and the Charity Commission promptly of any changes to directors/trustees, the registered office, or governing documents.
  • Maintain a central record of governance documents, including the Articles of Association, Board-approved policies, and any governance protocols (such as meeting procedures or delegated authority frameworks).
  • Ensure that any constitutional or policy changes approved by the Board or members are correctly recorded and filed with regulators when required.
  • Act as the named point of contact for Companies House and the Charity Commission in respect of governance and compliance matters.

GENERAL TASKS

  • Act in the best interests of the charity, upholding the Nolan Principles of Public Life and the Daylight Centre Fellowship’s values.
  • Ensure statutory registers, governance records and constitutional documents are kept secure, accurate and up to date.
  • Maintain a forward planner of all key governance and compliance deadlines for the Board and alert the Chair to any approaching deadlines.
  • Ensure all Board and AGM minutes, resolution and statutory filings are completed promptly and stored in accordance with legal requirements.
  • Support the Chair in ensuring meetings are quorate, decisions are recorded, and actions are tracked to completion.
  • Ensure new trustees receive an induction covering their legal duties, the charity’s constitution, and key governance policies.
  • Liaise with the CEO and Chair to ensure policy reviews, risk register updates and statutory filings are scheduled and completed on time.
  • Oversee processes for declaring and recording trustee conflicts of interest.
  • Support openness and transparency by ensuring required governance information is up to date on the charity’s website, Companies House and the Charity Commission register.
  • Treat all trustees, staff, volunteers and stakeholders with dignity and respect, demonstrating understanding of the Daylight Centre Fellowship’s aims and values.
  • Adhere to the Daylight Centre Fellowship’s Trustee Code of Conduct, policies and procedures.
  • Undertake training or professional development relevant to charity governance and compliance.

This role is optional under DCF’s Articles of Association. If the Board formally appoints a Treasurer and Company Secretary under the Companies Act, the role-holder’s name must be registered with Companies House and will appear on the public register. Where the role is not formally appointed, the Board should still designate an individual, either a trustee or another appointed person, to carry out the duties outlined, ensuring all statutory and governance requirements are met in a transparent and accountable way.

PERSON SPECIFICATION

Education, Training & Qualifications

  • Strong organisational and administrative skills.
  • Willingness to undertake training in charity and company governance.
  • Relevant qualifications in finance, governance, law, business administration, or similar.

Knowledge & Experience

  • Understanding of the legal duties and responsibilities of charity trustees and company directors.
  • Experience in governance, administration, or company secretarial duties.
  • Familiarity with the Companies Act 2006 and Charities Act 2011.
  • Experience preparing agendas, minutes, and governance records.

Skills & Competencies

  • Excellent attention to detail and accuracy.
  • Ability to work to statutory deadlines.
  • Strong written and verbal communication skills.
  • Ability to handle confidential information appropriately.
  • Competence in Microsoft Office applications (Word, Excel, Outlook).
  • Ability to work independently and collaboratively with trustees and senior staff.
