Role Title: Charity Governance Trustee/Director
Organisation: The Frank Soo Foundation
Location: Hybrid / Remote (with periodic in-person board meetings in London, UK)
Time Commitment: Approx. 4–6 hours per month (quarterly board meetings, annual AGM, and ad-hoc governance support)
Remuneration: Unremunerated (voluntary role; reasonable out-of-pocket expenses reimbursed)
About The Frank Soo Foundation
The Frank Soo Foundation honours the memory, achievements, and legacy of Frank Soo—the first player of East and South East Asian (ESEA) heritage to represent the England men’s national football team. Our mission centres on three core pillars:
- Promoting Legacy: Raising public awareness of Frank Soo’s historic contributions to football and anti-racism in sport.
- Community Empowerment: Supporting health, sports participation, and well-being initiatives within ESEA communities (in collaboration with other organisations).
- Fostering Aspiration: Guiding and supporting ESEAs in their pursuit in football, from players, coaches, referees, fans, and more.
Role Overview
As we prepare for our next stage of organizational development, we are seeking a Trustee with deep expertise in Charity Governance.
The successful candidate will play a pivotal role in leading our transition to full registered charity status with the Charity Commission. You will guide the Board of Trustees in aligning our practices with the Charity Governance Code, establishing robust compliance structures, and ensuring the Foundation operates with the highest standards of transparency and oversight.
Key Responsibilities
Charity Registration & Strategic Governance
- Lead Charity Registration: Direct, draft, and oversee the application to the Charity Commission for formal UK registered charity status, ensuring all public benefit requirements, charitable objects, and legal documentation (Governing Document/CIO Constitution) are fulfilled.
- Regulatory Compliance: Provide expert advice on legal duties, trustee responsibilities, and ongoing statutory obligations under UK charity law.
- Governance Frameworks: Review, establish, and refine board policies, standard operating procedures, and risk management protocols aligned with the Charity Governance Code.

Board Effectiveness & Oversight
- Assist in organizing board performance reviews, skills audits, and trustee recruitment/onboarding procedures.
- Ensure decisions made by the Board align directly with the charity’s governing document and strategic goals.
- Provide sound, objective judgment to identify and mitigate strategic, financial, reputational, and compliance-related risks.
General Trustee Duties
- Attend and actively participate in quarterly Board meetings, annual AGMs, and occasional strategic sub-committees.
- Act as an ambassador for the Frank Soo Foundation, championing its values, diversity, and public benefit mission.
- Engage collaboratively with fellow trustees, volunteers, and external stakeholders.
Person Specification
Essential Experience & Skills
- Charity Governance & Setup Expertise: Proven track record of guiding non-profits through the Charity Commission registration process and establishing strong legal foundations.
- Regulatory Knowledge: Deep understanding of UK charity law, Charity Commission submission criteria, public benefit tests, and trustee liabilities.
- Risk Management: Experience establishing, reviewing, and monitoring risk registers, safeguarding policies, and conflict-of-interest procedures.
- Strategic Thinking: Ability to analyze complex regulatory requirements, construct clear governing documents, and contribute to long-term organizational strategy.
- Integrity & Communication: Exceptional interpersonal skills with the ability to build consensus and maintain clear ethical standards.

Desirable Criteria
- Professional background in law, charity administration, risk management, or regulatory compliance.
- Passion for promoting diversity, inclusion, and representation in sports, culture, or community development.
- Previous experience serving on a charity board or as a Company Secretary.
