Interim M&A Tax Manager for UK Food Business Sale
We are supporting a client in its search for an interim M&A Tax Manager to support the sell-side tax due diligence process for the sale of a UK-based food business. The engagement will commence as soon as possible and run through the end of September, with an expected commitment of approximately 60–80%. The successful candidate will work closely with the management team on the sell-side tax due diligence process, with a particular focus on preparing and populating the data room, coordinating tax-related information, and responding to questions from the buy-side. The role requires a hands-on UK M&A tax professional who can independently manage key tax diligence workstreams and support the transaction through the sale process. The engagement is fully remote.
Responsibilities:
- Support the sell-side tax due diligence process for the sale of a UK subsidiary.
- Prepare, structure, and populate the tax-related sections of the virtual data room.
- Coordinate the collection and preparation of tax information across relevant internal stakeholders.
- Identify and assess key tax matters, risks, and potential diligence issues relevant to the transaction.
- Manage and respond to tax-related questions and information requests from the buy-side and its advisers.
- Work closely with management and external transaction advisers to maintain momentum throughout the diligence process.
- Support additional tax-related transaction deliverables through the end of the sale process.

Requirements:
- Strong UK M&A and transaction tax experience at Manager level.
- Demonstrated experience supporting sell-side tax due diligence processes.
- Strong understanding of UK corporate tax matters in a transaction context.
- Experience preparing data rooms and managing tax-related diligence requests.
- Ability to respond confidently to buyer-side tax questions and coordinate with external advisers.
- Ability to work independently and directly with corporate management teams.
- Professional fluency in English.
Nice to Have:
- Experience within food, FMCG, consumer, retail, or other trading businesses.
- Experience supporting transactions involving businesses with international subsidiaries or operations.
- Previous experience working on high-profile or complex corporate transactions.
- Independent consulting or freelance transaction experience.

Ideal Profiles:
- A current or former Big Four M&A Tax Manager with hands-on sell-side tax due diligence experience.
- A Transaction Tax Manager from a leading professional services firm with strong UK corporate transaction experience.
- An experienced independent M&A tax consultant who has supported corporate management teams through sell-side diligence processes.
- An in-house tax professional with substantial transaction tax and M&A due diligence experience.
