About PhenX Partners

PhenX Partners is an independent capital and M&A advisory boutique built exclusively for founder-led B2B software companies with €1M to €30M of ARR across North America and Europe. We advise on sell-side M&A, growth capital across equity, non-dilutive and hybrid instruments, and the capital-strategy work that determines a company's valuation before it goes to market. Our team has invested and advised at Accel-KKR, Citi, PAI Partners, Bryan Garnier & Co and inside PE-backed software platforms backed by Hg, ECI and Warburg Pincus.

The role

You will run mandates day to day. On a typical sell-side you own the financial model and KPI pack, the CIM and management presentation, the data room, buyer outreach and the weekly marketing log, IOI and final-bid analysis, and diligence management through to signing. On a growth-capital mandate you size the need against the instrument spectrum, build the lender and investor materials, and run the process to term sheet. Partners originate, set strategy and lead negotiations; you make the process happen and increasingly sit at the table.

What we're looking for

  • 5–8 years in M&A or capital advisory at an investment bank, corporate-finance boutique, Big Four transaction team, or in corporate development at a PE-backed software company
  • Has personally run at least two transactions from launch to close, including the diligence phase
  • Fluent in SaaS metrics — ARR bridges, NRR, cohort analysis, Rule of 40 — and able to build a three-statement model from scratch without supervision
  • Writes clearly; can draft a CIM section that a buyer will actually read
  • Comfortable in a small firm where you will sometimes be the only person on a workstream
  • Fluent English; French, German or another European language is a plus. Experience with North American counterparties is a plus

Economics / Compensation

This is a partner-track role with contingent economics. You receive a monthly draw while a mandate is live, plus a defined percentage of the success fee on every transaction you execute, with additional origination share on any mandate you source. Total compensation on a normal year of two to three closings compares with a VP package at a mid-market bank; on a strong year it exceeds it. We are transparent about the mechanics before you accept — you will see the fee-sharing schedule in writing.
