Interim / Contract VP Finance 6 month Contract

About the Company

High-growth, international technology business operating at the intersection of AI, data analytics and enterprise technology. With an established blue-chip customer base, strong financial backing and operations across multiple international markets, the business is entering an important phase of growth and organisational maturity.

We are looking for an experienced Interim / Contract VP Finance to provide senior financial leadership, strengthen financial discipline and support the leadership team through its next stage of growth. This is an ideal opportunity for an experienced finance leader who enjoys working in entrepreneurial, technology-led environments and can combine strategic financial leadership with hands-on execution.

The Role

Reporting to the CEO and working closely with the wider leadership team and investors, the VP Finance will take ownership of the company's financial strategy, planning and performance. You will provide the financial leadership required to support sustainable growth, improve visibility and control, and ensure the business is well positioned for future investment, commercial expansion and scale. The successful candidate will be highly hands-on, comfortable getting into the detail where required while operating at VP level and acting as a trusted strategic partner to the CEO and leadership team.

Key Responsibilities

Financial Strategy & Leadership

  • Act as a senior financial partner to the CEO, leadership team and Board.
  • Develop and implement the financial strategy aligned to the company's growth objectives.
  • Provide clear insight into financial performance, risks, opportunities and strategic trade-offs.
  • Support leadership decision-making through robust financial analysis and modelling.

With an established blue-chip customer base, strong financial backing and operations across multiple international markets, the business is entering an important strategic phase. As the company evaluates potential strategic transactions and future growth opportunities, we are looking for an experienced Interim / Contract VP Finance with strong M&A, transaction and corporate finance experience. The successful candidate will work closely with the CEO, Board, shareholders and external advisers to ensure the business is financially and operationally prepared for potential M&A activity, while continuing to provide senior financial leadership across the organisation. This is an ideal opportunity for an experienced finance leader who combines strong transaction experience with the ability to operate hands-on inside a high-growth technology business.

The Role

Reporting directly to the CEO and working closely with the Board, shareholders and advisers, the VP Finance will play a central role in the company's strategic finance and M&A activity. A major focus of the role will be ensuring the business is transaction-ready, with robust financial information, credible forecasting, clear valuation analysis and well-organised financial documentation. You will support the leadership team through the full transaction lifecycle where required, including strategic evaluation, financial modelling, valuation, due diligence, deal preparation and engagement with potential investors, acquirers, partners and advisers. Alongside this, you will maintain ownership of the company's broader financial strategy, planning, cash management and financial performance. The successful candidate will be highly hands-on and comfortable personally building models, analysing financial information and preparing transaction materials rather than operating purely at an advisory level.

Key Responsibilities

M&A & Transaction Leadership

  • Work closely with the CEO, Board and shareholders on potential M&A and strategic transaction activity.
  • Prepare the business financially and operationally for potential investment, acquisition or other strategic transactions.
  • Support the evaluation of potential transaction structures, valuations and strategic alternatives.
  • Build and maintain detailed financial models supporting valuation, transaction scenarios and potential deal outcomes.
  • Coordinate financial due diligence processes and manage requests from potential investors, acquirers and their advisers.
  • Ensure financial information, contracts, KPIs and supporting documentation are organised and transaction-ready.
  • Identify potential financial, commercial or operational issues that could impact valuation or transaction execution and address these proactively.
  • Support negotiations through detailed analysis of valuation, consideration structures, earn-outs, working capital adjustments and other financial deal terms.
  • Work closely with corporate finance advisers, investment banks, legal counsel, accountants, tax advisers and other transaction specialists.
  • Support management presentations and financial discussions with potential investors, acquirers and strategic partners.

Valuation & Strategic Finance

  • Develop a clear understanding of the company's valuation drivers and how these compare with relevant technology and SaaS businesses.
  • Build valuation analysis using appropriate methodologies including revenue multiples, EBITDA multiples, comparable transactions and scenario analysis.
  • Analyse the financial impact of different strategic options available to shareholders and management.
  • Develop credible financial narratives around growth, recurring revenue, customer economics, profitability and future potential.
  • Identify opportunities to strengthen the company's financial profile and maximise strategic value ahead of potential transactions.
  • Provide the CEO and Board with clear financial analysis supporting major strategic decisions.

Due Diligence & Transaction Readiness

  • Lead financial preparation for buyer, investor or lender due diligence.
  • Ensure historical financial information is accurate, consistent and clearly presented.
  • Establish robust supporting schedules covering revenue, customers, contracts, margins, costs, cash flow, working capital and other key financial areas.
  • Prepare detailed analysis of recurring revenue, customer concentration, retention, margins and revenue quality.
  • Work with advisers to anticipate likely diligence questions and resolve potential issues before formal processes begin.
  • Support preparation and management of financial information required for transaction data rooms.
  • Ensure financial reporting and forecasting can withstand detailed external scrutiny.

Financial Strategy & Leadership

  • Act as a senior financial partner to the CEO, leadership team, Board and shareholders.
  • Develop and execute financial strategy aligned with the company's growth and strategic objectives.
  • Provide clear insight into financial performance, risks, opportunities and strategic trade-offs.
  • Support leadership decision-making through robust financial analysis and modelling.
  • Establish appropriate financial governance, controls and reporting disciplines.
  • Maintain a hands-on approach to solving financial and operational challenges.

Planning, Forecasting & Performance

  • Own budgeting, forecasting and long-range financial planning.
  • Build and maintain robust financial models covering revenue, costs, cash flow, headcount and strategic scenarios.
  • Produce credible forecasts suitable for Board, investor and potential transaction discussions.
  • Establish clear KPIs and management reporting across the business.
  • Improve forecasting accuracy and provide meaningful variance analysis.
  • Ensure management reporting provides a clear picture of both current performance and future financial potential.

Commercial Finance

  • Develop detailed analysis of customer economics, revenue quality and profitability.
  • Analyse recurring revenue, customer concentration, retention, churn, pricing and gross margins.
  • Partner with Sales and Commercial teams to improve revenue visibility and predictability.
  • Support enterprise deal evaluation and commercial negotiations.
  • Identify the key commercial drivers that potential investors or acquirers are likely to focus on.
  • Develop clear analysis of product, customer and contract profitability.

Cash, Working Capital & Capital Planning

  • Own cash-flow forecasting and liquidity management.
  • Monitor working capital and identify opportunities to improve cash conversion.
  • Model cash requirements under different growth and transaction scenarios.
  • Support financing and capital structure discussions where required.
  • Ensure the business maintains appropriate financial headroom throughout any transaction process.

Finance Function & Infrastructure

  • Assess and strengthen the existing finance function, systems and processes.
  • Ensure financial controls and reporting are appropriate for a business potentially entering an M&A process.
  • Improve the quality, consistency and accessibility of financial information.
  • Work directly with accountants, auditors, tax advisers and other external finance resources.
  • Ensure appropriate financial controls, compliance and reporting processes are in place across international operations.
  • Personally execute key financial analysis, modelling and reporting where required.

Investor, Board & Adviser Management

  • Prepare high-quality financial reporting and analysis for the Board and shareholders.
  • Act as a key financial contact for corporate finance advisers and other transaction partners.
  • Support preparation of Board materials relating to strategic transactions and M&A.
  • Develop credible financial narratives around historical performance, future growth and valuation.
  • Support management presentations to potential investors, strategic partners and acquirers.
  • Translate complex financial and transaction issues into clear recommendations and options for senior stakeholders.

Experience & Skills

Essential

  • Significant experience at VP Finance, Finance Director, CFO or equivalent senior finance level.
  • Strong direct experience of M&A, corporate transactions, investment processes or strategic exits.
  • Experience supporting or leading businesses through financial due diligence and transaction preparation.
  • Strong understanding of valuation, transaction modelling and deal structures.
  • Experience working directly with CEOs, Boards, shareholders and external corporate finance advisers.
  • Strong track record within technology, SaaS, AI, data, analytics, software or another high-growth sector.
  • Excellent financial modelling and analytical capability.
  • Ability to build sophisticated transaction, valuation and scenario models personally.
  • Strong understanding of recurring revenue, revenue quality, customer concentration, margins and other key technology valuation drivers.
  • Excellent financial planning, forecasting, cash management and management reporting capability.
  • Highly hands-on approach with the ability to move seamlessly between Board-level strategy and detailed financial execution.
  • Excellent communication skills and the ability to present complex financial information clearly to senior stakeholders.

Highly Desirable

  • Previous experience supporting a company sale, strategic acquisition, private equity transaction or significant investment process.
  • Experience working directly with investment banks, corporate finance advisers, private equity firms, strategic acquirers or institutional investors.
  • Experience preparing a technology or SaaS business for sale.
  • Experience managing or supporting Quality of Earnings, financial due diligence or vendor due diligence processes.
  • Experience negotiating or analysing transaction structures including earn-outs, completion accounts, working capital adjustments and deferred consideration.
  • International transaction experience across multiple jurisdictions.
  • Previous experience within venture-backed, private equity-backed or founder-led businesses.
  • Previous interim or contract CFO / VP Finance experience.
