Job Title
My client, a key energy organisation, seeks a 2+ PQE lawyer to act as number 2 to the General Counsel and Company Secretary.
About the Role
This is a newly created role to provide pragmatic legal advice on a broad range of matters, support the legal strategy, guide major project and regulatory decisions and develop and maintain trusted relationships within the industry as well as with shareholders, regulators and external counsel.
Responsibilities
- Provide strategic legal advice to the business on legal and regulatory issues.
- Triage day-to-day legal matters and manage engagement with external counsel.
- Support the drafting and negotiation of various agreements with customers and partners.
- Support the Commercial function with a variety of matters, including the negotiation and drafting of relevant agreements.
- Support the procurement function by advising on key procurement contract provisions such as risk allocation, indemnity provisions and liability caps.
- Manage external counsel instructions on planning & related matters.
- Support responses to third-party planning applications that may affect the organisation's assets or operations.
- Provide legal guidance on more basic, or lower risk, consenting, land rights and planning matters.
- Provide general legal support in relation to specific energy related matters (previous experience is welcome but not essential).
- Provide legal guidance on regulatory interpretation and impacts on the business model and ways of working.
- Provide advice to help ensure the organisation meets its regulatory obligations under key licences, permits and agreements, including supporting engagement with regulators and other relevant parties.
- Support the Compliance function advising on regulatory separation and segregation requirements, including ring-fencing and information-barrier duties.
- Support compliance with project financing arrangements, ensuring conditions, undertakings & covenants are fully met.
- Support the GC in their role as Company Secretary to the Board.
- Help manage responses to disputes, litigation & arbitration, and coordinate external lawyers.
- Support the development of legal and enterprise risk management approaches across projects and operations.

- UK qualified lawyer with significant relevant experience (a minimum of 2+ years PQE, gained within the UK) gained either in private practice or in-house, in commercial contracts or construction/projects.
Compensation and Benefits
- Basic salary (to a maximum basic of £95,000 per annum)

- Hybrid working policy (applicants MUST live within a daily commute of Teesside)
