Job Profile Summary
Provide proactive support and assistance to the Group Company Secretary in all their areas of responsibility.
Main Duties
Company Secretarial and Governance
- Delivering Board and Committee governance Support including the preparation of agenda and papers for meetings, written resolutions minute taking and tracking of post meeting actions across boards and committees in line with applicable service levels.
- Carry out statutory company administration including maintenance of statutory registers and statutory filings in accordance with applicable legal requirements.
- Advise on and monitor compliance with applicable companies legislation and governance codes and regulations.
- Liaise with third party company secretarial service providers to Chaucer’s overseas companies.
- Manage annual effectiveness evaluations of Board Committees.
- Promote best company secretarial practice among all relevant Chaucer Group Committee secretaries.

Other
- Manage documentation of departmental procedures.
- Provide such other support to the Group Company Secretary as required.
- Company secretarial aspects of business projects including corporate acquisitions and liquidations.
Skills and Competencies
Relevant Experience
- Thorough knowledge of UK company law and corporate governance codes, and company secretarial practice and procedures
- Proven experience supporting boards and committees.
- Experience of the Lloyd’s market or insurance industry would be desirable
Education
- Chartered Governance Institute (CGI) qualified or part-qualified
Personal Skills
- Excellent organisational skills and a methodical approach.
- Capable of working independently with minimal supervision.
- Confidence to tackle wide range of company secretarial issues.
- Takes ownership of issues and ensures they are resolved to meet objectives.
- Ability to liaise with and give guidance to the business.
- Strong written and verbal communication skills.
- Ability to ensure work is produced on a timely basis and to the required standard.
- Able to work well with other departments and develop good working relationships across the business.
