Assistant Company Secretary - Fixed Term (Maternity Cover)
Role Purpose
We’re looking to recruit an Assistant Company Secretary on a fixed-term basis to cover maternity leave.
NorthStandard’s Corporate Governance team is responsible for delivering meetings of the Group’s Members, Boards and Committees while managing the framework of policies, procedures, and processes. Their work supports Group Directors to fulfil their duties in compliance with legal and regulatory requirements, ensuring accountability, fairness, and transparency for our Members, regulators, and other stakeholders.
Working closely with the Group Company Secretary and team members, this role will provide excellent company secretarial support to several key Boards, Committees, and internal governance forums, with a particular focus on audit, risk, and investment activities. Key forums include:
• Standard Club Asia Board • Standard Club UK Board • Group Audit, Risk, and Investment Committees • NorthStandard EU Audit and Risk Committees • Enterprise Risk Management Committee • Reinsurance Working Group • Sanctions Committee
Key Responsibilities
Meeting Planning & Delivery
- Maintain and communicate the Group’s rolling meeting plan, seeking input from internal and external stakeholders.
- Ensure the plan is appropriately and clearly communicated to enable effective forward planning.
- For meetings within scope:
- Document and action standing agenda items.
- Capture, track, and action all additional agenda items.
- Prepare agendas, papers, and minutes.
- Attend meetings (including domestic and international travel as required).
- Oversee physical and virtual meeting facilities to ensure effective participation.
- Circulate agendas, papers, and minutes in line with departmental service levels.
- Track, communicate, and resolve meeting actions on time.
- Maintain an up-to-date record of attendance.

Corporate Administration & Governance Support
- Provide support to the Group Company Secretary in:
- Director recruitment, induction, and onboarding.
- Annual Board performance appraisals.
- Board succession & development planning.
- Fitness & propriety assessments (including regulatory applications/notifications).
- Conflicts of interest (assessment, recording, and monitoring under laws/policies).
- Responding to information requests from internal and external auditors.
- Managing and updating policies, procedures, and controlled documents.
About You
Essential Skills & Experience
- Minimum 3 years’ hands-on experience supporting Board-level governance (company secretary or comparable role).
- Excellent drafting and organisational skills.
- Highly adaptable – proactively learns, works across varied systems/processes, and optimises approaches.
- Strong experience collaborating and influencing stakeholders at all organisational levels, including cross-border/cultural boundaries.
- Experience managing under pressure, prioritising workloads, and meeting tight deadlines in a fast-paced environment.
- Embraces change with a positive, solutions-focused attitude when overcoming workplace challenges.

Desirable Qualifications & Experience
- Qualifications in corporate governance (e.g., CGI certification) or current studies thereof.
- Preference for experience in regulated insurance or financial services.
- Experience in mutual or non-profit sector governance.

Salary range: £48,500–£xxxx (depending on experience).
