Assistant Company Secretary
Marsh is seeking a skilled and motivated Assistant Company Secretary to join our London-based Secretariat team within a leading multinational organisation. This role will focus on delivering governance advice, ensuring statutory compliance, and providing comprehensive board and committee support across our UK entities. You will play a key role in supporting complex intra-group transactions and governance projects, working closely with senior management and cross-functional teams globally.
Responsibilities
- Prepare and agree agendas for board and committee meetings across a portfolio of UK and overseas companies, including FCA-regulated entities
- Manage all logistical arrangements for board and committee meetings, including coordination with senior management, distribution of meeting materials, drafting accurate minutes, and tracking action items to completion
- Maintain statutory records, minute books, and ensure compliance with statutory requirements
- Coordinate the preparation, review, and approval of annual financial statements for multiple entities
- Maintain and update board and committee terms of reference, delegated authorities, and governance frameworks
- Provide governance support for intra-group projects such as liquidations, cash repatriation, restructuring, and capital reorganisations, ensuring compliance with multinational regulatory and legal requirements
- Manage execution formalities, including notarised and apostilled legal documentation
- Manage shareholder approvals and corporate governance matters for overseas subsidiaries
- Maintain accurate and up-to-date information in the organisation’s legal entity management system
- Support due diligence, RFP, and KYC processes by providing timely corporate information and documentation
Requirements
- Knowledge:
- UK company law, corporate governance standards, and statutory compliance obligations within a multinational environment
- Experience:
- Proven experience interfacing effectively with senior management and board members
- Skills:
- Excellent written and verbal communication skills, with the ability to simplify complex governance and legal concepts for diverse audiences
- Excellent technical, analytical, and problem-solving skills, with sound judgment and the ability to manage multiple priorities under pressure
- Exceptional attention to detail, organisational skills, and the ability to meet tight deadlines
- Approach:
- Collaborative and proactive approach, with a commitment to personal and team development
- Education:
- Educated to degree level or equivalent
- Qualifications:
- Qualified as an Associate Company Secretary (ACG) or equivalent professional qualification

- Significant company secretarial or legal experience within a multinational or financial services environment
- Experience managing governance and compliance across multiple jurisdictions
- Ability to navigate complex international regulatory landscapes and support cross-border transactions
