Assistant Company Secretary

Location: Sloane Square, London, UK
Client: Leading Global Energy Operator
Start Date: ASAP
Contract Duration: 12 Months (Extendable Contract)
Work Pattern: Minimum 3 days per week, up to 5 days per week - WFH is available a couple of days per week
Determination: Inside IR35

Purpose of the role

Provision of company secretarial services to both project joint ventures and the wider group under the supervision of the Company Secretary.

Key responsibilities

Key responsibilities cover the following areas:

  • Provision of Company Secretarial services to group companies (20 plus companies)
  • Corporate Governance and Compliance
  • Corporate Restructuring
  • Support to the Chairman of the Board(s) and to the Boards' committees
  • Project Work

Main Accountabilities and Responsibilities

Group Secretarial Services

Assistance in the provision of core company secretarial services to group companies including preparation of board/shareholder documentation, minutes of meetings, attending meetings as required and various matters related to statutory accounts.

Corporate Governance and Compliance

Advice on corporate governance matters for UK incorporated/managed companies of the group including internal compliance with Corporate Governance rules (e.g., Manual of Authorities and Internal Regulatory System), acting as a focal point in relation to auditing activities (both internal and external), maintenance of statutory records and books and, where relevant, consideration of UK domiciliation/mind of management issues. Monitor changes in the relevant legislation and regulatory environment and advise internally accordingly.

Corporate Restructuring

Assistance in the provision of general company secretarial support in relation to the corporate restructuring activities of the group including liquidations, strike-offs, capital restructuring and corporate re-organisations.

Support to the Chairman of the Board(s) and to the Board Committees

Work closely with Chairmen in organising meetings, setting agenda, taking notes of actions and following up on actions with the board and committees' members.

Project Work

General assistance on ad hoc matters and projects as they arise from time to time including work related to corporate acquisitions and review.

Main Interfaces (relationships)

INTERNAL (company, no reporting line):

  • Company Secretary
  • Project group boards chairmen/directors and committees' chairpersons/members

EXTERNAL (external):

  • Companies House and any other equivalent institution operating in jurisdictions where the group is present.
  • Professional advisers such as lawyers, notaries, accountants and registrars both in the UK and abroad.

Candidate Requirements

Education & Professional Qualifications:

  • Strong academic record (degree preferable).
  • Part or full ICSA or similar/equivalent qualification (Desirable).

Required Experience and Technical Competencies (relevant experience and technical skills):

  • Extensive company secretarial experience (6 years plus) of complex corporate organisations/structures (Desirable).
  • Previous experience in Oil & Gas/Energy Sector (Desirable).
  • Knowledge of company secretarial software (Essential).
  • Good working knowledge of Excel and Word (Essential).
  • Strong company secretarial skills/knowledge (Essential).
