Associate Director – Transaction Advisory Role
About the Company
We are seeking an experienced Associate Director to join a thriving Transaction Advisory practice, offering a rare opportunity for an ambitious Associate Director or Senior Manager aspiring to take the next leadership step.
About the Role
This role requires a driven professional to lead complex M&A engagements for buy-side and sell-side transactions. You will provide expert guidance on financial due diligence, Sale & Purchase Agreements (SPAs), accounting and financial reporting, and deal structuring. Collaborating closely with private equity investors, corporate clients, lenders, and legal advisers, you will play a key part in delivering high-value advice while helping grow the Transaction Advisory practice.
Responsibilities
Transaction Advisory & M&A
- Lead financial due diligence in acquisitions, disposals, and refinancing transactions.
- Guide clients through the M&A lifecycle from initial evaluation to deal completion.
- Analyse financial performance, earnings quality, cash flow, working capital, and value-driver identification.
- Identify transaction risks, commercial issues, and value-creation opportunities.
- Support transaction structuring and execution.
SPA Advisory
- Lead SPA Advisory engagements for buy-side and sell-side transactions.
- Advise on Completion Accounts and Locked Box mechanisms.
- Review and negotiate financial definitions in Sale & Purchase Agreements.
- Guide clients on Purchase Price Adjustments.
- Examine Working Capital and Net Debt mechanisms.
- Resolve Completion Accounts disputes and post-completion matters.
- Collaborate closely with legal teams throughout negotiations.

Accounting & Financial Reporting (AFR)
- Provide expert accounting advice on acquisitions and disposals.
- Address IFRS and UK GAAP implications of transactions.
- Support complex accounting issues arising in M&A transactions.
- Assist with carve-outs, financial statement preparation, and transaction-related reporting.
Client Management
- Serve as the primary client point of contact throughout engagements.
- Build trusted relationships with private equity firms, corporates, lenders, and management teams.
- Present insights clearly to Boards, Investment Committees, and senior stakeholders.
- Work collaboratively with legal advisors, tax specialists, and external professionals.
Leadership
- Manage multiple concurrent engagements.
- Lead, mentor, and develop Managers, Assistant Managers, and Associates.
- Ensure the highest technical standards across deliverables.
- Support recruitment, coaching, and team growth.
Business Development
- Strengthen relationships with current and prospective clients.
- Identify cross-selling opportunities within the advisory practice.
- Prepare proposals, pitch documents, and fee estimates.
- Assist senior leadership in winning new mandates and expanding the Transaction Advisory business.

Qualifications
- ACA, ACCA, CA or equivalent professional qualification.
- Strong academic background.
Required Skills
- Significant Transaction Advisory experience in a Big Four, Mid-Tier, or specialist advisory firm.
- Proven experience at Senior Manager or Associate Director level.
- Demonstrated expertise advising private equity and corporate clients.
- Strong financial due diligence experience.
- Extensive SPA Advisory background.
