Newly-Qualified Corporate Finance Lawyer (1 PQE) – Private Equity & Structured Finance
An exciting opportunity has been created for a newly-qualified lawyer to join a leading international law firm, with offices worldwide and a strong European practice specialising in:
- International arbitration and litigation
- Cross-border acquisitions
- Capital markets transactions
- Private equity funds
- Financings and restructurings
The office boasts several hundred employees, including partners, senior counsel, and locally qualified lawyers working across jurisdictions. Collaboration with international offices supports a wide range of complex, cross-border matters.
About the Department
The firm’s European finance team specialises in advising private equity sponsors, including:
- Leveraged financings for portfolio companies
- Debt structures, such as:
- Term loan B financings
- Second-lien financings
- Holding company PIK debt
- Bond issuances
- Debt fund financings
- Fund-level financings, including:
- Subscription lines
- NAV lines
- Management financings

The role suits a dynamic and client-facing lawyer with experience advising private equity firms, corporates, and financial institutions. The successful candidate will handle a diverse client base, providing advice on corporate finance matters across the firm’s broader practice area.
Key Responsibilities

Corporate finance transactional work:
- Drafting and reviewing transaction documents
- Managing the transaction process end-to-end
- Negotiating with counterparties
- Supervising trainee solicitors and junior colleagues

Regulatory & compliance advice:
- Supporting regulated clients with compliance issues

Private equity advisory:
- Assisting with portfolio investment matters, including:
- Special Purpose Vehicles (SPVs)
- Joint venture structuring
- General partner/manager compensation issues
- Advising on direct and secondary fund transactions, including complex structuring
- Assisting with portfolio investment matters, including:

Knowledge & business development:
- Contributing to articles, client alerts, and speaking engagements
- Participating in business development initiatives to expand the firm’s client base

Essential Requirements
- Qualified as a solicitor (objectively assessed as being likely to qualify under the new qualified lawyer route)
- 1 PQE maximum (newly qualified or within the first year of practice)
- International experience is a must
- Proven ability to work on high-complexity assignments independently
- Strong drafting, negotiation, and communication skills
- Client-facing traits—personable, proactive, and commercial
- Team player with a high-energy, collaborative approach
- Business acumen, with an ability to communicate effectively to private equity, corporate, and financial clients
