Commercial and Technology Lawyer - AVP

Job Title: Commercial and Technology Lawyer, Assistant Vice President (AVP)

Purpose of the Role

To ensure that the commercial, innovation, technology, real estate, sponsorship, data licensing, and service activities (CIT Areas) are conducted in compliance with applicable laws and regulations. Additionally, the role is responsible for helping the bank manage legal and reputational risks associated with these areas.


Accountabilities

Risk and Compliance Strategy

  • Develop and implement best practice legal strategies for risk management and compliance in CIT Areas.
  • Provide legal advice and support to the business across:
    • Regulatory compliance
    • Innovation and technology strategy
    • Contract drafting, review and negotiation

Representation and Litigation

  • Represent the bank in legal proceedings, including litigation, arbitration, and regulatory investigations for CIT Areas.

Document Management and Compliance

  • Create and review legal documents, including agreements, licenses, and related contracts for:
    • Commercial services
    • Technology and software
    • Data
    • Real estate
    • Sponsorship Ensuring compliance with applicable laws and regulations.

Research and Updates

  • Conduct legal research and analysis to stay updated on changes in laws and regulations impacting CIT Areas within the bank.
  • Proactively identify, communicate, and provide legal advice on applicable laws, rules, and regulations (LRRs).
  • Ensure LRRs are adequately reflected in policies, standards, and controls across relevant areas.

Training and Awareness

  • Develop and deliver training programmes to educate employees on legal and regulatory requirements related to CIT Areas.

Role Expectations (Assistant Vice President)

Advisory and Influential Leadership

  • Advise and influence decision-making.
  • Contribute to policy development and demonstrate responsibility for operational effectiveness.

Position-Specific Requirements

Qualification and Experience

  • Dynamic and solutions-focused senior qualified lawyer (solicitor, barrister, or equivalent):
    • Post-qualification experience, either in-house or in private practice.
  • Proven commercial and technology agreement expertise, covering:
    • Agreements with suppliers, clients, and partners
    • Software licenses, hardware/software maintenance, SaaS, cloud services, sponsorship, professional services, data, index licensing
  • Proof of experience advising on risk management tied to compliance and organisational policies.
  • Understandiançaway to effectively embed better risk management within the organisation.
