Commercial Manager

The Commercial Manager supports the negotiation and delivery of commercial agreements, ensuring alignment with business objectives while effectively managing risk and governance. Working closely with cross-functional teams, this role provides commercially sound advice, supports deal progression, and contributes to negotiation strategies across a range of contract structures.

With strong commercial and contractual awareness, the Commercial Manager balances value, risk, and client needs, builds effective relationships, and delivers clear, structured communication in a fast-paced environment.


Key Responsibilities

  • Works with cross-functional teams to develop and execute negotiation strategies.
  • Advises on commercial risk and governance, aligning deals with business goals.
  • Supports deal progression from proposal to execution, including contract drafting, negotiation, and closure.
  • Balances value, margin, and client requirements while mitigating risks.
  • Ensures adherence to internal processes and maintains clear commercial documentation.

Essential Skills & Experience

Commercial & Strategic Skills

  • Strong commercial acumen, assessing value, margin, and risk in deals.
  • In-depth understanding of deal structures: MSAs, SOWs, framework agreements, fixed price, T&M, and hybrids, with guidance on application.
  • Applies strategic thinking to align contracts with business and client objectives.
  • Sound commercial judgment, determining when to escalate, negotiate, or compromise.
  • Financial literacy—knowledge of revenue drivers, cost structures, and margin impacts.

Contracting & Legal Experience

  • Expertise in drafting and interpreting MSAs, SOWs, amendments, and renewals.
  • Understanding of key contractual risks (liability, IP, termination, data protection).
  • Ability to translate legal/technical concepts into clear business implications.
  • Experience supporting jurisdiction-specific contracts (with specialist guidance).
  • Strict adherence to governance processes, including approvals, deviations, and template usage.

Negotiation Skills

  • Proven negotiation capability, covering:
    • Managing timelines and stakeholder expectations.

  • Clear, structured, and contextual communication (written and verbal).
  • Ability to present issues with recommended actions.
  • Executive presence in stakeholder discussions.
  • Produces high-quality documentation (summaries, approvals, commercial notes).

Operational & Process Expertise

  • Supports the contract lifecycle (negotiation → execution → renewal).
  • Contributes to process improvements in commercial operations.
  • Attention to detail, handling multiple deals simultaneously.
  • Organised and able to prioritise workload effectively.
