Discover the Role
Provide support to the Company Secretarial team on a 12-month fixed-term contract, assisting in the delivery of annual compliance obligations and routine company secretarial transactions across a portfolio of UK entities. Ensure the accurate and timely preparation, processing, and filing of statutory records and Companies House submissions, along with all related administrative duties. Collaborate effectively with team members to deliver efficient, professional, and high-quality company secretarial services to clients, while maintaining full compliance with applicable legislation and internal procedures.
Key Responsibilities
- Responsible for the accurate, complete, and timely processing of annual compliance requirements for allocated client entities.
- Responsible for meeting deadlines and service level agreements for all allocated client tasks.
- Prepare and process routine company secretarial transactions in accordance with Companies Act requirements and internal procedures.
- Prepare and submit Companies House filings, including:
- Confirmation Statements
- Director appointments and resignations
- Changes to registered office address
- Changes to accounting reference dates
- Simple share allotments
- Company incorporations
- Other routine statutory filings as required.
- Maintain statutory registers and company records, ensuring information is accurate and up to date.
- Assist with the preparation of board minutes, resolutions, and other corporate documentation relating to routine transactions.
- Ensure all filings and transactions are completed in compliance with company policies, applicable legislation, data protection requirements, and risk controls.
- Use TMF's company secretarial software effectively and maintain accurate client data.
- Maintain relevant databases, client records, and workflow tracking tools.
- Perform standard onboarding and entity setup tasks for new client engagements.
- Monitor and apply changes in UK company law and Companies House filing requirements.
- Participate in team projects, process improvement initiatives, and operational activities as required.
- Provide administrative support to the Company Secretarial team.
- Attend client board meetings and take minutes where required.
- Undertake any other duties reasonably required for the role.

Key Requirements
- Experience in a fast-paced, high-volume company secretarial environment is preferred.
- Good understanding of UK company secretarial practice and Companies House requirements.
- Working knowledge of routine company secretarial transactions, including:
- Director appointments and resignations
- Registered office changes
- Accounting reference date changes
- Simple share allotments
- Confirmation Statements
- Company incorporations
- Experience preparing and submitting Companies House filings and maintaining statutory registers.
- Understanding of annual compliance requirements for UK companies.
- Familiarity with company secretarial software and electronic filing systems.
- Strong attention to detail with the ability to manage multiple deadlines.
- Resourceful, independent, and able to identify and resolve routine issues effectively.
- Able to communicate clearly and professionally with clients, colleagues, and external stakeholders.
- Commitment to accuracy, quality, and client service excellence.
- Fluency in English is essential.

Technical Knowledge
- Basic knowledge of the Companies Act 2006 and UK corporate governance requirements relevant to private companies.
- Understanding of statutory filing obligations and Companies House deadlines.
- Knowledge of corporate records management, statutory registers, and routine board and shareholder documentation.
- Awareness of anti-money laundering, data protection, and risk management requirements applicable to company secretarial services.
