Company Secretarial Manager – Borehamwood

We’re looking for a Company Secretarial Manager to join our Borehamwood-based team.

About the Role

This is a varied, client-facing role where you will:

  • Manage a portfolio of company secretarial clients, acting as the primary point of contact for day-to-day matters.
  • Provide technical advice across a broad range of corporate and Companies Act matters.
  • Ensure high-quality company secretarial services are delivered efficiently across the firm.
  • Collaborate with audit, accounts, tax, and advisory teams to provide practical, accurate, and timely support.
  • Mentor and develop junior team members, helping them grow their skills.

Key Responsibilities

  • Client Management
    • Manage a portfolio of company secretarial clients.
    • Act as the key contact for all day-to-day corporate matters.
  • Corporate Compliance & Documentation
    • Advise clients and colleagues on company secretarial and Companies Act matters.
    • Maintain statutory records and ensure compliance with UK company and LLP regulations.
    • File confirmation statements and Companies House documentation accurately and on time.
  • Share Capital & Transactions
    • Handle share allotments, transfers, reorganisations, and buybacks.
    • Prepare documentation for changes to share capital, including:
      • Company name changes
      • Accounting reference dates
      • Amendments to articles of association
  • Corporate Formation & Regulatory Matters
    • Oversee company incorporations, LLP formations, and UK establishment registrations for overseas companies.
    • Manage reductions of capital, share buybacks, and corporate transactions.
  • Client Onboarding & Compliance
    • Support the client onboarding process.
    • Conduct annual reviews of beneficial ownership and KYC documentation.
    • Assist with SEIS and EIS applications where required.
  • Operations & Team Support
    • Manage client billing and optimise the company secretarial function’s efficiency.
    • Mentor and develop junior team members.
    • Liaise with Companies House and regulatory authorities on behalf of clients.
  • Technical & Software Proficiency
    • Maintain expertise in Company Secretarial Software and Microsoft Office applications (especially Excel).

Essential Qualifications & Experience

Company Secretarial expertise is roles, the bedrock of this position.

  • Qualification
    • CGI (formerly ICSA) qualification, or equivalent experience.
  • Relevant Experience
    • Experience in a company secretarial role within:
      • Professional services firms
      • Corporate secretariat environments
  • Detailed Technical Knowledge
    • Deep understanding of company secretarial practice and the Companies Act 2006.
    • Experience ensuring UK company and LLP compliance.
  • Corporate Transaction Skills
    • Hands-on experience with share capital transactions, including:
      • Share allotments
      • Share transfers and reorganisations
      • Declarations of solvency
  • Compliance & Legal Competency
    • Knowledge of beneficial ownership requirements and company secretarial compliance obligations.
  • Technical And Skill Proficiency
    • Strong movement-related proficiency (time management and prioritisation).
    • Exceptional written and verbal professionalism and company secretarial software proficiency.
  • System slider Automation
    • Equally effective in working autonomously or collaboratively.
