Position Type: Volunteer (with reasonable expenses reimbursed)
Required Commitment: Average commitment of 4-8 hours per month, with additional time required around quarterly Board meetings and annual filing period
Contract Length: 12-month appointment, renewable by mutual agreement
ROLE DESCRIPTION
The 10,000 Interns Foundation is looking for a Company Secretary; a crucial role in supporting the Foundation’s governance, advising on legal and governance matters, ensuring compliance, and facilitating our ability to work with confidence and efficiency.
The ideal Company Secretary will work independently and confidently, with exceptional organisational skills, strong written and verbal communication skills, and a keenness to build governance and compliance experience in the charity sector. This volunteer position is ideal for someone with a strong sense of integrity, experience handling sensitive information, and a passion for social justice, looking to make a meaningful contribution to the achievement of the 10,000 Interns Foundation’s mission.

KEY RESPONSIBILITIES AND TASKS
Governance & Compliance:
- Work with the Chair of the Board, Trustees and CEO, to ensure the charity complies with its governing documents, relevant legislation, and Charity Commission requirements.
- Keep accurate records of trustee appointments, resignations, declarations of interest and committee compositions.
- Ensure timely filing of statutory returns, including the annual return to the Charity Commission and our confirmation statement to Companies House.
- Maintain the charity’s register of trustees and governance policies, recording any changes to trustee information directly with the Charity Commission and Companies House.

Board Support & Administration:
- Provide administrative support to trustee board and committee meetings (Nominations, Remuneration, Audit, People & Welfare, and Safeguarding), including scheduling, preparing and circulating agendas and papers in advance.
- Attend meetings and produce accurate, timely minutes and action logs.
- Monitor completion of board actions and advise on governance best practices.
- Support trustee recruitment, onboarding, training, succession planning.
- Create and maintain an annual governance and compliance calendar to ensure timely completion of statutory, regulatory and board activities.
Legal & Statutory Duties:
- Act as the main point of contact for the Charity Commission and Companies House.
- Keep governance documents up to date, including the constitution, terms of reference, and trustee code of conduct.
- Ensure compliance with data protection (GDPR) and other relevant policies.
- Support the Board in maintaining effective governance, risk management and assurance processes.
- Maintain the Register of Interests and support the Chair in ensuring conflicts are appropriately declared and managed.
Charity Governance Support:
- Stay abreast of any change from relevant regulators (e.g. Charity Commission, Fundraising Regulator, Information Commissioners Officer) and provide guidance on governance, roles, responsibilities, and procedures accordingly.
- Assist the Chair and CEO in ensuring the board operates effectively and in line with the charity’s values and legal duties.
- Oversee the renewal of our key insurance policies, and be main point of contact for our insurers.

PERSON SPECIFICATION
Required Knowledge, Skills and Experience:
- Commitment to the 10,000 Interns Foundation’s mission, vision and values
- Previous experience as a Company Secretary, trustee or charity administrator
- Familiarity with filing requirements for both the Charity Commission and Companies House
- Understanding of charity law and best practice governance frameworks
- Experience using Google Workspace applications and other technology to support administrative duties such as virtual meeting software and note taking
- Understanding of charity governance and regulatory requirements
- Strong administrative and organisational skills
- Accuracy and attention to detail in documentation and record-keeping
- Ability to work independently and maintain confidentiality
- Strong written and verbal communication skills and the ability to work collaboratively with a diverse group of people
