Vice President, Company Secretary (EMEA) – Regulated Entities

About the Role
We’re seeking a qualified lawyer or company secretary to join Morgan Stanley’s dynamic company secretarial team, providing strategic company secretarial support to a large portfolio of entities across EMEA, predominantly in the UK. You will report directly to the EMEA Head of Company Secretarial, an Executive Director based in London, in this Vice President role.
Since 1935, Morgan Stanley has been a global leader in financial services, guiding clients and communities with excellence across 40+ countries. This role combines regulatory compliance, governance, and strategic advisory, ensuring our portfolio remains compliant, effective, and competitive.
Key Responsibilities
Primary Company Secretarial Functions
- Act as Company Secretary and governance advisor for regulated (PRA/FCA) and unregulated entities, delivering full company secretarial support.
- Key focus: advisory to Board, Board Committees, and the senior EMEA Executive Committee. Include:
- Regulatory compliance support for PRA/FCA panels
- Board effectiveness reviews and skills assessments
- Preparation of annual agenda plans, quarterly agendas, board packs, and governance-related documents
- Support for strategic governance projects (e.g., board succession planning, governance reviews, digitisation initiatives)
Directorial Engagement
- Primary point of contact for Chair and non-executive directors, delivering advisory support on:
- Corporate governance best practice
- Director inductions, including duties and conflicts training
- Regulatory standards (including UK listed company compliance)
Documentation & Reporting
- Accurate minuting of board meetings (aligned with UK listed company standards)
- Regulatory compliance filings management
- Drafting governance/reporting content for annual reports and accounts
- Overseeing updated company minutes, regulatory notations, and regulatory events calendars

Strategic & Operational Governance
- Advisory on entity liquidations and restructurings, particularly legal entity refinancing.
- Oversee EMEA-based company secretarial team and work closely with Mumbai-based team supporting unregulated UK entities.
Ad Hoc & Development
- Participation in governance training (e.g., minute training workshops)
- Leading enhancements in management information, transparency reports, and governance audits.
Requirements & Experience
Key Qualifications & Experience
- Qualified lawyer (solicitor/worker) or Chartered Secretary (e.g., MCIArb, ACLG, or equivalent)
- A minimum of 10 years’ experience in a senior company secretarial or compliance role, complemented by highly regulated environments (e.g., financial services, listed companies, or highly structured corporate governance functions).
- Proven track record advising directors, boards, and C-suite stakeholders, alongside operational exposure to finance, legal, and governance frameworks.
Technical & Operational Skills
- Mastery of standard company secretarial tools (e.g., Blueprint, Boardvantage)
- Strong research and commercial awareness of UK/EU corporate regulatory frameworks (e.g., FCPA, UK Corporate Governance Code, LSE Guidelines).
- Ability to manage multiple stakeholders and deliver high-quality outputs under pressure.
Soft Skills & Collaborative Mindset
- Highly self-driven, capable of problem-solving and independent decision-making.
- Thoughtful team player, prioritising transparency and hands-on engagement with non-executives, senior leaders, and legal/financial advisors.
- Proven willingness to travel to London for quarterly board meetings, though hybrid/remote elements are common.
