# Company Secretary – United Kingdom Legal Entities
About the Role
We are seeking a Company Secretary for the United Kingdom legal entities. This role will deliver company secretarial services to multiple State Street UK legal entities and internal governance committees while ensuring adherence to relevant State Street governance policies.
The ideal candidate will lead and deliver effective corporate governance arrangements for State Street UK legal entities, act as a strategic business partner to the UK Board and Committees, and champion best practice for company secretarial and corporate governance across the UK.
Key responsibilities include ensuring policies, procedures, and practices align with changing regulatory and statutory requirements—impacting Boards, Committees, and individual Directors. Additionally, you’ll manage the UK Company Secretary team, collaborate with our Company Secretary team in Poland, and oversee their support for the UK.

You’ll join the Investment Services function, enabling us to deliver comprehensive, holistic client solutions for asset managers, owners, insurance companies, and global institutions. Your role will help strengthen long-term client relationships through expert governance leadership.
Key Responsibilities
Board and Committee Support
- Manage day-to-day governance requirements for UK boards and committees
- Develop close working relationships with chairs and members
- Serve as the first point of contact for governance and company secretarial matters
- Support appointments, elections, and committee processes
- Contribute to discussions and coordinate advice as needed
- Oversee scheduling, coordination, and execution of board and committee meetings
- Organise agendas, distribute materials via Diligent Boardbooks, and maintain records
- Take minutes of meetings and follow up on actions (including review)
- Provide a dedicated point of contact for all board and committee members
- Ensure full compliance with:
- Relevant constitutional documents
- Terms of Reference/Charters
- State Street’s Legal Entity Governance Standards
- Statutory, regulatory, and legal requirements
- Lead board and committee effectiveness reviews
- Maintain an up-to-date annual calendar of matters for all boards and committees

Compliance & Statutory Obligations
- Oversee maintenance of statutory books and registers (including electronic systems like Blueprint)
- Manage preparation and submission of annual compliance statements and Companies House filings, including statutory accounts
- Draft routine board resolutions as required
- Provide company information to businesses, auditors, and regulators
Additional Company Secretary Responsibilities
- Draft, maintain, and approve policies and procedures
- Handle correspondence, collate information, and prepare reports
- Develop management information and key performance indicators (KPIs)
- Liaise with Control Functions
- Oversee updating Company Secretary Office (CSO) intranet pages
- Mentor and advise junior members of the CSO team
- Promote and adopt new technologies and processes (including AI) to enhance team efficiency
Management of the Company Secretary Function
- Lead the UK Company Secretary team and oversee its success against internal priorities
- Collaborate with the company secretary team in Poland
- Map career development pathways for team members
- Represent the Company Secretary Function in internal and external meetings
- Deputise on UK governance-related matters for the UK CEO and UK CEO Office team

Education & Preferred Qualifications
- Degree-level education
- Chartered Governance Institute qualifications preferred (ACIS or FCIS)
- Proficiency in Microsoft PowerPoint, Word, and Excel
- Strong understanding of the finance sector, FCA, PRA, and regulatory requirements
- Experience in company secretarial roles within financial institutions
