Role: Corporate Attorney - M&A (Remote)
Location: Remote (Work from Anywhere)
Job Type: Contract
Payout: $40 - $70/hour

Role Overview:
We are hiring for one of our clients, seeking a Corporate/M&A Attorney to work on a contract basis. The role involves providing legal guidance on corporate transactions, mergers, acquisitions, and strategic partnerships. Responsibilities include drafting and negotiating transaction documents, conducting due diligence, and ensuring compliance with applicable laws and regulations.

Key Responsibilities:

  • Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related transaction documents.
  • Conduct legal due diligence on target companies, identifying risks and liabilities relevant to the transaction.
  • Advise on corporate governance matters, including board and shareholder meetings, and compliance with state and federal regulations.
  • Structure and document corporate reorganizations, joint ventures, and strategic alliances.
  • Liaise with internal stakeholders, external counsel, and regulatory bodies to facilitate smooth transaction execution.

Required Skills & Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
  • Minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions.
  • Strong drafting and negotiation skills for transactional documents and agreements.
  • Proficiency in legal research tools and databases, such as Westlaw or LexisNexis.
  • Ability to manage multiple projects simultaneously with minimal supervision.
