Your new company
We are currently working with a PLC organisation who are seeking a Corporate Lawyer to support a programme of subsidiary restructuring. This role will report to the Group Legal Director. It will be a global role and will be on a Fixed-term contract basis of 6-12 months. You will also work closely with the Group General Counsel and Company Secretary and be a part of a fantastic and collaborative team.
Key Responsibilities
- Provide legal support for corporate transactions, divestments and disposals.
- Support subsidiary restructuring, entity rationalisation and simplification projects.
- Draft, review and negotiate transaction documentation, including SPAs, TSAs, NDAs and intra-group agreements.
- Manage legal due diligence and support transaction execution.
- Work closely with Company Secretariat, Finance and Tax, as well as external counsel across multiple jurisdictions.
- Identify and mitigate legal risks associated with restructurings and disposals.
- Support governance, board approvals and regulatory compliance requirements.

Requirements
You will need to have a can-do and innovative attitude, as well as being a collaborative individual who is inquisitive to work within a fast-paced and changing environment. As well as some further detail the below.
- Qualified Solicitor in England & Wales or Commonwealth, 2+ PQE (guideline only).
- Strong corporate law experience gained in-house and/or private practice and very familiar with the corporate governance function.
- Proven track record supporting corporate governance, disposals, restructurings and cross-border transactions.
- Experience of legal entity simplification and subsidiary reorganisation programmes.
- Commercially minded, pragmatic and able to operate autonomously in a fast-paced environment.
- Previous PLC and multinational / cross border experience is highly desirable, but not a pre-requisite.
