Overview

Manages the provision of technical support for service delivery to UK and other jurisdictional companies and Special Purpose Vehicle (SPV) structures, primarily in capital markets/structures finance transactions, and client relationship management. Manages all aspects of Company Secretariat and Corporate Governance service delivery, inclusive of the provision of Director services and confidently attending and participating in Board level meetings.

Manages and participates in drafting Board minutes and providing regulatory updates and training to clients and the team. May work on and manage special projects as needs arise.

Primary Responsibilities

  • Manage document review and transaction management for all corporate services transactions in the UK including transaction onboarding and ongoing amendments to capital markets transactions.
  • Manage a varied client portfolio with an emphasis on UK-based capital markets transactions within established timelines, investigating and suggesting enhancements where necessary, ensuring timely and effective client care.
  • Oversee the Directors on the SPVs and provide technical input on the client accounting function.
  • Maintain current technical knowledge of listed debt corporates and general company, partnerships and other company type requirements and regulatory requirements for structured finance vehicles, including, but is not limited to, the Companies Act 2006, Market Abuse Regulations, The Listing Rules and Continuing Obligations, the Disclosure & Transparency Regulations and Alternative Investment Market (AIM) rules and all types of structured finance transactions.
  • Remain current with changing industry standards and inform assigned team.
  • Oversee the drafting of board papers, and assembly of board packs and ensure distribution to client boards. Provide review and comment on corporation documentation as required by the client and in conjunction with other advisors. Assist with drafting and review of annual reports in conjunction with SPV accountants and advisors. Draft other company materials including announcements and statutory filings, as appropriate.
  • Review client structures, complete review processes for client entities; remain aware of risk exposure, including the fulfilment of responsibilities.
  • Review legal and tax advice where appropriate and interpret and implement relevant advice as required.
  • Maintain accurate and current records of client entities, ensuring compliance with statutory obligations.
  • Receive, monitor, and remain current with constitutional, regulatory, and listing requirements as applicable to individual clients.
  • Manage various other aspects of our service offering, including developing client relationships, remaining current with best practice and disseminating the same to assigned team, undertaking office administration including billing and project work, as appropriate. Manage correspondence, the collating of information and writing of reports.
  • Work with external regulators (where appropriate) and advisors, such as clients, lawyers, and auditors.
  • Manage own billing and cash collection/debtors’ process. Maintain awareness of recoverability and work in an efficient manner which minimises write-offs.
  • Maintain awareness of the obligations for reporting unusual transactions.
  • Adhere to procedures relating to regulatory requirements and Anti-Money Laundering (AML) legislation.
  • Exercise usual authority of a manager concerning staffing, performance appraisals, promotions, salary recommendations, performance management and terminations.
  • Understand and adhere to the Company’s risk and regulatory standards, policies and controls in accordance with the Company’s Risk Appetite. Design, implement, maintain and enhance internal controls to mitigate risk on an ongoing basis. Identify risk-related issues needing escalation to management.
  • Promote an environment that supports belonging and reflects the M&T Bank brand.
  • Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable.
  • Complete other related duties as assigned.

Education And Experience Required

  • Minimum of 7 years’ higher education and/or work experience, including a minimum of 5 years’ experience in Corporate Services and Structured Finance.
  • Minimum of 2 years proven supervisory and/or work leadership experience in a professional services team.
  • Adherence to Continuing Professional Development (CPD) requirements for a fully qualified charter company secretary.
  • Advanced working knowledge of pertinent business specific software.
  • Strong verbal and written communication skills.

Education And Experience Preferred

  • Bachelor’s Degree.
  • Previous experience in finance/capital markets.
  • ICSA (Chartered Governance Institute UK and Ireland) Qualification.
