Company Commercial Solicitor
Main Purpose:
We are seeking an experienced Company Commercial Solicitor with approximately 7 years Post-Qualified Experience (PQE) to join our dynamic Corporate & Commercial team. The successful candidate will handle a broad range of corporate and commercial matters, advising SMEs, owner-managed businesses, and larger corporate clients on complex transactional and advisory work.
This role requires strong technical expertise, commercial awareness, and the ability to manage matters independently while contributing to business development and mentoring junior lawyers.
Responsibilities:
Corporate Work:
- Advise on and manage a variety of corporate transactions, including:
- Share and asset acquisitions and disposals
- Mergers and demergers
- Management buyouts (MBOs)
- Private equity investments (if applicable)
- Corporate reorganisations and restructuring
- Draft, review, and negotiate:
- Share purchase agreements (SPAs)
- Shareholders’ agreements
- Articles of association
- Disclosure letters and ancillary documents
- Conduct and supervise legal due diligence exercises
- Advise on corporate governance and compliance matters

Commercial Work:
- Draft and negotiate a wide range of commercial contracts, including:
- Supply and distribution agreements
- Terms and conditions of business
- Agency and franchising agreements
- SaaS and technology contracts (if applicable)
- Provide strategic commercial legal advice to clients across various sectors
- Support clients with contract risk management and compliance frameworks

Key Skills:
- Qualified Solicitor in England & Wales with approximately 7 years PQE in Company Commercial / Corporate law
- Strong track record in handling corporate transactions independently
- Excellent drafting, negotiation, and analytical skills
- Commercially astute with a practical, solution-focused approach
