Deputy Company Secretary
Main purpose As a Deputy Company Secretary you will report to the Head of Legal Entity Management & Company Secretarial and play a key role in shaping and delivering the Global Company Secretariat's strategic objectives whilst managing day-to-day operations across a diverse portfolio of entities. The role offers exposure to complex, cross-border corporate structures and opportunities to work closely with senior stakeholders. What makes this role unique This is not a traditional company secretarial position. We're looking for a dynamic professional who thrives in a fast-paced environment and is comfortable balancing strategic thinking with hands-on execution. The role demands flexibility, pragmatism and a willingness to engage directly with operational matters alongside higher-level governance work Key responsibilities Oversee company secretarial matters for a substantial portfolio of entities across multiple jurisdictions – including: drafting, reviewing and coordinating the timely execution of corporate documentation ensuring full compliance with legal and statutory obligations in each relevant jurisdiction managing the entity lifecycle from incorporation through to dissolution, including structural changes, capital transactions and cross-border reorganisations maintaining accurate statutory registers and corporate records in accordance with local requirements overseeing document management systems and administrative processes to ensure audit-ready files and efficient retrieval triaging and responding to daily requests via the shared Company Secretarial inbox, providing pragmatic guidance and solutions Coordinating board and shareholder meetings, including preparation of agendas, papers and minutes Lead and develop a team, fostering excellence in service delivery Drive strategic initiatives that enhance the Secretariat's profile and expand its value proposition across the organisation Contribute proactively to cross-functional corporate projects, bringing commercial insight and governance expertise Collaborate with global counterparts to ensure consistency and best practice across the group's worldwide operations Required qualifications Minimum of 8+ years' experience in company secretarial, legal or corporate governance roles, ideally within a multinational corporation, international law firm, or Big4/professional services firm Law Degree or equivalent experience and relevant professional qualification (i.e qualified lawyer, ICSA, ICSI or similar) Proven track record of managing and developing teams, with strong mentoring capabilities Solid understanding of company secretarial practice and corporate governance principles Proficiency in MS Office suite and online research tools Knowledge of multiple jurisdictions highly desirable Fluent or Native English (written and spoken) Preferred qualifications Experience with company secretarial software platforms (e.g. DocuSign, Diligent, GEMS) Knowledge of multiple jurisdictions Attributes for success Communication: Exceptional written and verbal communication skills, with the ability to distil complex matters for diverse audiences Stakeholder Management : Strong stakeholder management skills, comfortable engaging with senior leadership, international colleagues and professional advisors Organisation: Excellent organisational abilities with a demonstrated capacity to manage competing priorities and tight deadlines Autonomy: Self-sufficient and resourceful, able to work autonomously whilst contributing effectively to team objectives Commerciality: Commercial acumen with a pragmatic, solutions-focused mindset Resilience: Adaptability and resilience in a fast-moving, dynamic environment Department overview The Company Secretarial Department is mainly based in Amsterdam office and supports all business areas by providing end-to-end company secretarial and corporate administration services across the Group.
