Senior Director, Capital Markets – Factor – Closes 3rd July 2026

As an inclusive company with more than 300 talent across Europe and North America, we are seeking a Dynamic Director, Capital Markets to lead and innovate at the intersection of law, business, technology, and operations.


About the Role

Factor is seeking an experienced Director to drive strategic legal and operational excellence for our financial services clients. This position is pivotal in fostering trusted relationships with investment banks, asset managers, private credit fonds, and other financial institutions—enabling us to enhance process efficiency, manage complex transactions, and innovate across capital markets.

The ideal candidate will act as a Strategic Advisor, guiding clients by: 🔹 Delivering high-value engagements 🔹 Transforming legal processes via AI, process improvement, legal engineering, and next-gen delivery models 🔹 Balancing immediate service delivery with transformative growth


Key Responsibilities

🤝 Client Leadership & Relationship Management

  • Serve as the primary legal and operational point of contact for financial services clients across capital markets.
  • Foster deep client relationships with General Counsel, Heads of Legal, Business Stakeholders, and Operations leaders.
  • Align solutions to client objectives, tailoring legal, operational, and commercial strategy.
  • Identify opportunities for expanded services and actively support business development.

🏙️ Capital Markets Expertise

Lead large-scale capital markets projects across: ✅ Debt Capital Markets (DCM) ✅ Equity Capital Markets (ECM) ✅ Structured Finance & Securitization ✅ Derivatives (ISDA documentation frameworks) ✅ Loan Transactions & Credit Agreements ✅ Private Credit & Leveraged Finance

Key deliverables:

  • Subject-matter expertise: Transaction lifecycle, documentation, regulatory compliance, and market best practice.
  • End-to-end support: Transaction execution, remediation processes, repaperings, and regulatory change management.

👥 Team Leadership

  • Lead and manage multidisciplinary teams (lawyers, legal analysts, project managers, legal engineers, and consultants).
  • Mentor and develop talent, ensuring professional growth in a collaborative, high-performing culture.
  • Oversee resource allocation and delivery quality across multiple engagements.
  • Inspire innovation and agility in problem-solving.

🔄 Strategic Consulting & Transformation

  • Advise clients on legal operating model transformation, driving efficiency and scalability.
  • Assess and redesign processes to remove inefficiencies.
  • Drive change management programs, supporting implementation in real-world legal settings.
  • Integrate AI, automation, and technology to enhance legal service delivery.

🤖 Innovation & Legal Technology

  • Partner with Legal Engineering & Technology teams to identify automation opportunities.
  • Implement AI-enabled solutions in legal and compliance functions.
  • Champion data-driven legal strategies.
  • Stay ahead of **emerging trends in financial regulation, legal tech, and capital markets.

💼 Commercial & Business Development

  • Contribute to proposals, pitches, and client presentations.
  • Expand existing client engagements, mitigating attrition and driving growth.
  • Develop thought leadership and market insights within capital markets.
  • Represent Factor at industry events, conferences, and client engagements.

Required Experience & Qualifications

✅ Education: Bachelor’s degree in Law, Finance, Business, Economics, or a related discipline. ✅ Experience: 10+ years in one of the following domains: - Investment banking (legal functions) - Capital markets law firms - Alternative Legal Service Providers (ALSPS) - Financial services consulting - In-house legal teams at financial institutions ✅ Capital Markets Expertise: Deep understanding of transaction documentation and products. ✅ Client Management: Proven track record of client leadership and stakeholder collaboration. ✅ Project Leadership: Experience leading complex legal transformations, process improvements, or innovation initiatives.


Preferred Attributes

🟢 Qualified Lawyer (UK, US, Ireland, or other common law jurisdiction). 🟢 ALSP, Big Four, or legal transformation experience. 🟢 Exposure to legal tech, AI, and process automation. 🟢 Regulatory knowledge, particularly within global financial institutions.
