Director of Governance

About the Role

What does it take to lead governance at one of the world’s leading universities?

As Director of Governance at Imperial College London, you'll be responsible for setting and upholding the institution's governing framework. In this senior leadership role, you’ll collaborate with Council, the University Management Board, and senior figures across Imperial to ensure governance aligns with the highest standards of research, technology, and future-focused impact.

You’ll shape decisions that define how this prestigious world-class institution operates, balancing strategic foundations with operational excellence.


Key Responsibilities

Leadership & Strategic Direction

  • Set benchmarks for excellent governance, driving efficiency, accountability, and effective decision-making.
  • Own the governance architecture—ordinances, regulations, delegations and decision pathways that govern day-to-day operations.

Secretariat & Committee Support

  • Provide expert operational support to:
    • Council
    • University Management Board
    • Major governance committees
  • Oversee Council effectiveness, including succession planning and member engagement outside formal meetings.

Compliance & Best Practice

  • Lead Imperial’s alignment with the CUC Code (Code of Governance for Universities in England), offering proactive, strategic advice.
  • Maintain governance mechanisms:
    • Conflicts of interest registers
    • Annual governance audit cycles

Policy & Structural Oversight

  • Strategic policy development supported by sound governance frameworks.
  • Foster innovation—embrace digital and AI-enabled solutions to enhance governance processes.

Cross-University Roles

  • Oversee end-to-end delivery of the Honours and Awards processes.
  • Manage University Secretariat’s operational budget.
  • Represent Imperial College London on external sector governance bodies.

Representation & Team Management

  • Dep Holt for the Registrar & University Secretary and Chief Legal Officer, as required.
  • Lead and coach high-performing teams, enhancing skill development and maintaining excellence.

Essential Requirements

You must demonstrate experience and expertise in:

  • Delivering high-quality governance services in complex organisations, including:
    • Developing and implementing governance strategies.
    • Steering committee cycles that support both strategic and operational objectives.
    • Employing frameworks that foster clarity of accountability and decision-making.
  • Practically advising on governance matters, particularly policy development and corporate frameworks.
  • Leading inclusive, dynamic teams, enabling professional growth and maintaining high standards.
  • Possessing deep knowledge of governance architecture and experience in large, multifaceted organisations.
  • Strong communication, influencing and diplomacy,' especially with:
    • Senior leadership
    • Independent Council members
    • Wide-ranging University stakeholders
  • Integrity, discretion, and resilience—professional conductivity and managing sensitive information with diligence.
  • Exceptional organisational skills for managing a varied, fast-paced workload pryment in ambitauity.

Qualifications:

  • Degree-level education (or equivalent) with training or qualification in:
    • Governance or
    • Company secretarial best practices
  • Proven experience within the Higher Education sector.
