The Team
We are seeking talented professionals at the Director and Senior Director levels to join our dynamic and highly experienced EMEA SPA services team. You would be joining our single integrated team, with members based across EMEA, delivering SPA services to clients across all geographies.
Our team provides both pre- and post-deal support across all sectors, working on a diverse range of transactions—from large, complex carve-outs to deals involving high-growth earn-outs.
Our EMEA SPA team works alongside our award-winning Transaction Advisory Group team, the largest practice of its kind outside the Big Four. Together, we provide end-to-end support throughout the mergers and acquisitions lifecycle, helping clients maximise value through:
- Enhanced deal negotiation
- Optimised purchase price mechanisms
- Accelerated deal closures
Core Areas of Expertise
- Pre-deal advisory:
- Expert drafting, valuation, and negotiation advice.
- Evaluation of financial impacts of pricing mechanisms (e.g., Locked Box vs. Completion Accounts).
- Calculation of target net working capital.
- Identification of cash and debt-like items.
- Preparation of detailed completion mechanism memorandums.

SPA advisory:
- Financial and accounting perspectives on sale and purchase agreements.
- Insights into pricing and adjustment mechanisms, representations and warranties, and related clauses/schedules (e.g., Completion Accounts, Earn-outs, Locked Box).

Enterprise to Equity Value Adjustments:
- Analysis and negotiation support for value adjustments between Enterprise Value and Equity Value.
- Development of robust, defensible arguments for negotiation.

Post-deal support:
- Price adjustment mechanisms, including Completion Accounts, Earn-outs, and Leakage reviews.
- Ensuring alignment with SPA provisions and maximising value preservation/realisation.
Transaction Types Handled:
- Completion Accounts or Earn-outs
- Leakage reviews
- Locked Box / Hybrid deals
How You Will Contribute

Advisory Services:
- Provide expert advice on financial and strategic implications of sale and purchase agreements.
- Support deal negotiation for key financial elements of purchase price and SPA metrics.

Financial Analysis & Testing:
- Perform in-depth financial analysis to inform transaction and purchase price decisions.
- Conduct valuation and testing to inform transaction strategies.

Client Management:
- Build and maintain strong client relationships.
- Tailor solutions to client needs for purchase price and SPA advisories.

Collaboration:
- Work closely with other departments for seamless service delivery.

Leadership:
- Manage and deliver end-to-end SPA advisory engagements.

Business Development:
- Strengthen personal brand and enhance market awareness of A&M’s SPA Services practice.
- Foster innovation in SPA advisory methodologies.

Qualifications
Required:
- Proven Expertise:
- SPA advisory experience, ideal experience covering both pre-deal and post-deal phases.
- Transaction advisory experience (e.g., EMEA carve-outs, earn-outs, or hybrid transactions).
- Communication Skills:
- Exceptional written and verbal communication.
- Strong interpersonal abilities.
- Leadership:
- Ability to lead high-performing teams and thrive in a fast-paced environment.
- Adaptability:
- Comfortable working in a dynamic and collaborative environment.
Preferred:
- Technical Proficiency:
- Experience with AI tools and advanced data analysis solutions.
- Credentials:
- Strong academic background and professional credentials such as ACA, CPA, or equivalent.
- Language Skills:
- Fluent business-level English required.
- Additional languages valued: Dutch, French, German, Italian, Spanish, or Swedish.
