Keyloop is seeking a commercially-minded General Counsel to lead the Legal function and help the business operate with strong commercial judgement. Reporting to the CFO, who also holds the COO remit, the GC will work closely with the CEO and wider leadership team, acting as a trusted adviser and business partner across the organisation, with Legal seen as a strategic, visible function, closely aligned to commercial outcomes. This is a role for someone who can ensure contracts and legal frameworks not only manage risk but actively support growth, in a fast-moving, private-equity-backed global software business.

Key Responsibilities

  • Own commercial contracts and negotiation, ensuring customer and supplier agreements are commercially robust, consistently structured, and negotiated to both benefit and protect the business.
  • Lead and shape the Legal function, managing a team of counsels and continuing to develop the right operating model, with scope to shape team structure, capability, and ways of working.
  • Bring a global leadership mindset, building and developing talent across multiple geographies, while keeping the function close to the business and commercially aligned.
  • Ensure strong legal governance, clear frameworks, and a pragmatic approach to risk management across a global SaaS environment.
  • Strengthen investor and event readiness, ensuring documentation, contracts, and corporate housekeeping are well positioned for future strategic opportunities and due diligence.
  • Build a strong working relationship with Francisco Partners and their legal leadership, engaging with the wider GC community across the Francisco Partners portfolio.

Experience & Skills

  • A proven General Counsel with strong commercial instincts and the credibility to operate as a trusted adviser to senior leadership in a fast-moving, PE-backed SaaS environment.
  • Qualified lawyer with current practising rights (e.g. Solicitor/Barrister, JD, or equivalent) in a relevant jurisdiction.
  • Track record negotiating and shaping customer and supplier contracts in a SaaS environment, with strong commercial judgement and an ability to balance risk versus reward practically.
  • Experience working in a private equity-backed business, or a similarly high-pace, high-accountability environment, with familiarity with investor expectations and governance standards.
  • Proven people leadership experience, building and developing high-performing legal teams, and comfortable shaping the legal operating model (business partnering, playbooks, templates, governance frameworks).
  • Able to build credibility quickly with the CEO, CFO/COO, ELT, and sponsor stakeholders, and to take an early, deep dive into commercial risk and contracting to identify quick wins.
  • Hands-on and comfortable getting into the detail of contracts, risk positions, and policy frameworks when needed, while delivering pace and quality.
  • Experience with data privacy and regulatory compliance (e.g. GDPR, CCPA) across multiple jurisdictions.
  • Experience supporting global employment/HR matters, including multi-jurisdiction workforce structures (FTEs, contractors, EORs).
  • Experience with IP protection and management in a technology/software business.
  • Experience overseeing litigation and disputes, including management of external counsel relationships and budgets.
  • Experience supporting due diligence, transaction readiness, and legal housekeeping, with a clear understanding of what "good" looks like in a data room.
  • Views legal as a scalable, business-enabling function, and is open to adopting legal tech/AI tools to improve efficiency.
  • Resilient, adaptable, and a confident communicator, able to challenge constructively and influence at senior levels.
