About the Role

U.S. Bank’s Global Corporate Trust team delivers specialized trustee and agency services globally, supporting clients across debt capital markets, loan markets, and structured finance transactions. This includes roles such as account bank, collateral administrator, trustee, and facility agent—critical partners to financial institutions, corporates, lenders, and their advisers.

We are seeking an experienced Transaction/Relationship Manager to lead the Conventional Debt Product (high-yield/investment-grade bonds), focusing on end-to-end deal execution, customer relationships, and revenue growth. Your expertise will drive operational excellence while ensuring compliance and market competitiveness.


Key Responsibilities

Customer Relationship Management & Business Growth

  • Retain and grow relationships with key clients, increasing market share and profitability through cross-selling/up-selling within existing accounts.
  • Develop and execute a customer-calling strategy to identify repeat business opportunities and ensure satisfaction.
  • Collaborate with new business development/sales teams to identify and pursue new business from current/ prospects via market influencers (issuers, arrangers, law firms).
  • Provide proactive, professional client service via phone, in-person, and written correspondence across all deal phases.

Transactional & Deal Execution

  • New Deals:

    • Manage pre-closing document review (using standard bank/capital markets language) to ensure compliance with U.S. Bancorp policies, regulations, and client requirements.
    • Coordinate cross-functional review with legal, client service, operations, and analytics teams to address comments/redlines from external advisers or internal stakeholders.
    • Assist with deal pricing and fee proposals, adjusting rates for tailored responsibilities and revenue protection.
    • Attend closings in person as required; oversee account sign-up, funding coordination, and team execution.
  • Existing Deals:

    • Handle document amendments/waivers (with external counsel as needed) for issues like waivers, consents, or regulatory updates.
    • Perform periodic account reviews (post-closing), flagging compliance ticklers, exposing deal risks, and liaising with servicing teams.
  • Manage closing and funding logistics, liaising with internal and external parties to meet deadlines and milestones.

Risk & Compliance

  • Assess the feasibility of bank obligations in new/existing deals, evaluating control/risk language and potential loan/syndication risks.
  • Confirm knowledge of customer/trust fund activity to safeguard against suspicious transactions/activities under Bank Secrecy Act (BSA), Anti-Money Laundering (AML), and sanctions compliance.
  • Work with Corporate Trust Onboarding, ensuring all KYC requirements are met for counterparties.
  • Uphold U.S. Bank’s Code of Ethics, corporate policies, and regulatory standards (e.g., Cybersecurity, Business Continuity).
  • Actively participate in mandatory compliance training and refer suspicious activity via internal protocols.

Strategic & Operational Growth

  • Track industry trends, competitor capabilities, and emerging deal structures to position the team proactively.
  • Contribute to ** automation/efficiency improvements** in deal workflows that enhance service and reduce costs.
  • Drive revenue growth through repeat business from existing clients, cost optimization, and reprofiling encounters.

Qualifications & Experience

Preferred Education & Background

  • Bachelor’s Degree (preferably in Business, Finance, Law, or related field) or equivalent work experience.
  • Minimum 5–7 years’ experience in corporate trust, transaction management, or relationship banking in debt capital markets.

Key Requirements

  • Deep knowledge of trustee/agency documentation, including capital markets/repackages, bond settlements, and syndication processes.
  • Proven expertise in conventional debt structures (high-yield/investment-grade bonds).
  • Strong interpersonal, negotiation, and conflict-resolution skills, with fluency in influencing clients, legal counsel, and cross-functional teams.
  • Exceptional analytical ability to evaluate deal provisions, risk exposure, and value-added services.
  • Compliance awareness: Experience aligning contracts with regulatory requirements (e.g., SEC,/local laws, Sanctions) is a must.

Additional Preferences

  • Legal background or certifications (JD/CPA/CAMS preferred but not mandatory).
  • Familiarity with regulatory frameworks like:
    • Investment Company (IC) Act
    • OCC trust regulations
    • Loan Documentation Institute (LDI) standards
  • Technical aptitude for understanding deal structures and working with financial systems.
