Governance Manager
Location: Ealing / Hybrid (limited office attendance required)
Salary: £58,714-£61,500
Contract type: Permanent – Full Time (35 hours per week, Monday to Friday)
DBS Level: Basic

Are you an experienced governance professional with a strong understanding of corporate governance, regulatory compliance and Board and Committee processes? Do you thrive in a role where you can provide expert advice, influence senior stakeholders and continuously improve governance standards and practices? If so, this could be the opportunity for you.
We’re looking for a Governance Manager to join our Governance & Compliance team, working closely with the Head of Governance & Compliance to ensure effective governance structures, frameworks and processes are embedded across the organisation. You’ll work closely with Board and Committee Chairs, senior leaders and colleagues across the business, providing expert governance advice and helping to ensure decision-making is robust, transparent and aligned with our strategic objectives.
Key Responsibilities
- Lead the development, implementation and ongoing monitoring of governance frameworks, policies and procedures, ensuring alignment with regulatory requirements and best practice
- Provide expert governance advice and support to Board Committees, Chairs, senior leaders and colleagues across the organisation
- Manage Board and Committee meeting cycles, including agenda planning, paper coordination, minute-taking, action tracking and ensuring decisions are accurately recorded and followed through
- Provide governance advice and support to Joint Venture partners, coordinating Board meetings and ensuring effective governance processes are maintained
- Identify and support the management of governance risks, ensuring compliance with relevant legal, regulatory and ethical standards
- Maintain statutory company registers and oversee Companies House filings and compliance returns
- Support annual Board and Committee effectiveness reviews, ensuring governance arrangements remain effective and Terms of Reference are appropriately maintained
- Manage the signing and sealing of documents across the Group, coordinating with authorised signatories and internal stakeholders
- Produce high-quality governance, compliance and risk reporting for senior leadership and the Board

More About You
- Professional qualification in Governance, such as ICSA/CGI, or a similar relevant qualification
- Proven experience working in governance, corporate governance, risk or compliance within a large or complex organisation
- Strong experience supporting Boards and Committees, including meeting management, governance advice, preparation of papers and high-quality minute-taking
- Strong understanding of governance frameworks, regulatory requirements and compliance standards
- Knowledge of housing regulation and governance requirements within the housing sector (desirable, not essential)
- Experience managing statutory registers, Companies House filings and wider company secretarial activities
