About the Opportunity
Our client is a leading, private equity-backed business operating across the UK and Ireland, delivering essential services within a highly regulated and operationally complex environment.
As the organisation continues its ambitious growth journey through organic expansion, acquisitions and strategic transformation initiatives, an opportunity has arisen for an experienced Head of Legal/GC to join the senior leadership team.
Reporting directly to the Group CFO, this is a broad and influential role offering significant exposure to Board-level decision-making, strategic growth initiatives and corporate governance activities across a diverse multi-site operation.
The successful candidate will act as a trusted adviser to executive leadership, helping shape the organisation's future while leading legal, governance, compliance and risk management activities across the Group.
The Role
Key responsibilities will include:
Strategic Advisory
- Partnering with the Board and executive leadership team on legal, commercial and strategic matters.
- Supporting business transformation, organisational change and long-term growth initiatives.
- Advising on corporate structuring, financing arrangements and shareholder-related matters.
Mergers & Acquisitions
- Leading legal workstreams across acquisitions, disposals, joint ventures and strategic projects.
- Managing legal due diligence, transaction execution and integration activities.
- Coordinating external advisers and ensuring commercially focused transaction delivery.

Commercial Contracts
- Reviewing, negotiating and advising on a wide range of complex commercial agreements.
- Providing pragmatic and commercially balanced legal advice to operational and leadership teams.
- Supporting major investment, infrastructure and development projects.
Governance & Company Secretarial
- Acting as Company Secretary and principal adviser on corporate governance matters.
- Supporting Board and Committee activities, including meeting preparation and governance frameworks.
- Ensuring statutory compliance and adherence to corporate governance best practice.
Compliance & Risk
- Leading legal and regulatory compliance across the business.
- Developing and maintaining governance policies, controls and compliance frameworks.
- Managing enterprise risk processes, including oversight of key legal, regulatory and commercial risks.
Employment & Corporate Matters
- Advising senior management on employment and organisational matters.
- Supporting restructurings, employee relations issues and leadership-related matters alongside HR colleagues and external counsel.
Disputes, Insurance & Data Protection
- Managing litigation and dispute matters through external legal advisers.
- Overseeing insurance programmes and claims management.
- Advising on data privacy, information governance and related compliance matters.

External Adviser Management
- Managing relationships with external law firms and specialist advisers.
- Ensuring effective use of external support and control of legal expenditure.
Candidate Profile
We are seeking a commercially minded lawyer with the gravitas and credibility to operate effectively at Board level.
You will ideally bring:
- Qualified Solicitor in the UK and/or Ireland.
- Significant post-qualification experience gained within private practice, industry, or a combination of both.
- Strong corporate, commercial and M&A experience.
- Experience supporting Boards, governance structures and executive leadership teams.
- Strong commercial judgement and an ability to balance legal risk with business objectives.
- Experience operating within complex, multi-site and regulated environments.
- The ability to build trusted relationships and influence stakeholders across all levels of an organisation.
- A hands-on approach and willingness to operate across a broad range of legal and commercial matters.
Desirable Experience
Experience within sectors such as:
- Infrastructure
- Industrial services
- Energy & utilities
- Environmental services
- Facilities management
- Other highly regulated industries
Private equity-backed business experience would also be highly advantageous.
