Pinsent Masons is seeking a private markets investment funds lawyer of Associate level (or equivalent) to join our team. The team operates on a genuinely cross-office basis, so we would be open to candidates looking to be based in our London, Edinburgh, or Glasgow offices.

This is an opportunity to join a highly-ranked and growing team, where your expertise directly contributes to high-impact work on genuinely interesting client matters, collaborate with leading practitioners across our global network, and grow your career within a practice known for excellence and innovation.

You’ll be part of a global team acting for fund managers and leading investors on the full range of investment funds work. Working with a diverse range of UK and international clients, you’ll gain exposure to complex and interesting work, building meaningful relationships and specialised expertise.


The Opportunity

You will play a central role in some of the most dynamic and impactful private fund matters in the market. Your role entails:

  • Advising leading fund managers and significant institutional investors across the full lifecycle from structuring and fund formation to investment activities.
  • Collaborating with colleagues across London, Scotland, Luxembourg, Dublin, and our wider international network in sectors including:
    • Infrastructure
    • Energy
    • Climate & sustainability
    • Impact
    • Real estate
    • Debt
    • Private equity

Role & Responsibilities

Bring your specialist funds expertise and commercially minded approach to a team trusted by top stakeholders. Your key responsibilities will include:

  • Leading client matters, with support from senior colleagues, and owning transaction execution.
  • Strategic team growth, initiating client relationships and fostering opportunities across our global network.
  • Advising on the structuring, establishment, and operation of private investment funds in sectors like energy, infrastructure, climate, debt, and private equity.
  • Drafting and negotiating critical fund documentation, including:
    • Limited partnership agreements
    • Shareholder agreements
    • Unit trust deeds
    • Management and administration agreements
  • Leading investor negotiations, handling side letters and preparing tailored investor review reports.
  • Collaborating with tax specialists, offshore counsel, and administrators to deliver comprehensive, full-service advice throughout fund formation and fundraising.
  • Developing client relationships, supporting business initiatives, and contributing to the growing market-leading Funds team.

  • Private market fund managers
  • Institutional investors
  • Banks, financial services institutions, pensions, and long-term savings providers
  • Development finance institutions
