Private Funds Investment Funds Lawyer – Associate Role
Greenway Search are excited to exclusively represent a leading London-based US law firm, specialising in comprehensive legal services to clients across corporations, financial institutions, and investment funds.
About the Role
This London-based role serves as a Private Funds Investment Funds Lawyer within a prestigious US law firm. The firm is known for excellence in client service and is seeking a highly motivated associate to join their dynamic legal team, supporting clients in the formation, structuring, and regulatory compliance of private investment funds.
Key Responsibilities
- Advise private equity funds, hedge funds, venture capital funds, and real estate funds on legal and regulatory matters
- Draft and negotiate key fund documents, including:
- Partnership agreements
- Subscription agreements
- Offering memoranda
- Side letters
- Provide guidance on securities regulations (e.g., SEC, CFTC, and FINRA), ensuring compliance with domestic and international laws
- Assist in fundraising activities and private placement negotiations
- Conduct legal due diligence for investment opportunities and acquisitions
- Maintain strong relationships with clients, acting as a trusted legal and strategic advisor
- Stay updated on industry trends and regulatory changes, ensuring proactive guidance

Qualifications & Requirements
✔ England & Wales Qualified ✔ Minimum 2 years’ experience as a lawyer in private investment funds, preferably in:
- A top-tier law firm
- An in-house legal department ✔ Deep expertise in:
- Securities laws & regulations
- Investment advisor regulations
- Fund structuring & formation ✔ Proven ability to:
- Draft and negotiate complex fund-related documents
- Provide business-oriented, analytical legal advice
- Work independently in a fast-paced legal environment
- Build and maintain strong client relationships ✔ Demonstrates high professionalism, integrity, and ethical standards
