Role: Investment Funds Attorney (Remote)
Location: Remote (Work from Anywhere)
Job Type: Contract
Payout: $90 - $130/hour
Role Overview:
We are hiring for one of our clients, seeking a Funds Attorney to work on a contract basis. The role involves providing legal guidance on fund formation, compliance, and transactional matters. The attorney will support investment funds across various asset classes and structures.
Key Responsibilities:
- Draft, review, and negotiate fund documents including limited partnership agreements, side letters, and subscription agreements.
- Advise on regulatory compliance under securities laws, ERISA, and tax regulations.
- Conduct due diligence for fund investments and potential conflicts of interest.
- Assist with fund closings, capital calls, and distributions.
- Monitor regulatory developments and ensure fund operations align with legal requirements.

Required Skills & Qualifications:
- Admitted to practice law in a U.S. jurisdiction.
- 3+ years of experience in funds or investment management law.
- Proficiency in fund formation, compliance, and transactional documentation.
- Knowledge of securities laws, including Regulation D, Regulation S, and Rule 10b-5.
- Strong analytical and problem-solving skills with attention to detail.
