Investment Funds Lawyer (NQ) – International Firm

Location London

A leading US law firm is seeking to appoint an NQ Investment Funds Associate into its highly regarded London Investment Funds practice, as part of its continued expansion driven by sustained global client demand and consistently strong transactional activity across private capital markets.

This represents a rare opportunity to join a market-leading platform at entry level, offering immediate exposure to some of the most sophisticated fund formation and advisory work in the market, within one of the most prominent and high-performing investment funds teams globally.


About the Role

The Investment Funds practice sits at the heart of the firm’s broader private capital platform, advising many of the world’s leading:

  • Private equity houses
  • Asset managers
  • Sovereign wealth funds
  • Institutional investors

Key Areas of Expertise

The team is widely recognised for its involvement in:

  • Private equity fund formation and structuring across multiple jurisdictions
  • Secondary transactions, continuation funds, and complex fund restructurings
  • Co-investment structures and managed accounts
  • Advisory work across fund terms, governance, and regulatory frameworks
  • High-value cross-border mandates involving leading global sponsors and institutional LPs

This is a highly technical and intellectually demanding area of practice, where associates develop:

  • A deep understanding of legal structuring and commercial fund economics

Daily Responsibilities

Day-to-day responsibilities typically include:

  • Drafting and negotiating limited partnership agreements (LPAs) and key fund documentation
  • Advising on carried interest structures, waterfall mechanics, and fee arrangements
  • Supporting fundraising processes, including investor negotiations and due diligence
  • Working closely with sponsors on structuring investment platforms and fund vehicles
  • Coordinating cross-border elements across US, UK, EU, and offshore jurisdictions
  • Advising on evolving regulatory and compliance considerations impacting private funds

Candidate Profile

The firm seeks ambitious, high-calibre NQ lawyers who can demonstrate:

  • A strong academic background and training from a leading City or international firm

  • Exposure to investment funds, asset management, private equity, or broader corporate transactional work

  • Excellent technical drafting ability and strong attention to detail

  • A genuine interest in private capital markets and fund structuring

  • Commercial awareness and the ability to understand investor and sponsor priorities

  • A proactive, intellectually curious mindset with strong teamwork skills

  • Prior investment funds experience is advantageous but not essential; the team welcomes candidates from strong corporate or finance training backgrounds.
