Junior Legal Counsel

Junior Legal Counsel – Permanent, Sutton

About the Role

Subsea7 is seeking a motivated, newly qualified Junior Legal Counsel to join our corporate legal team on a full-time, permanent basis based in our Sutton office.

This role offers a dynamic and evolving remit, allowing for professional development and career growth within a fast-paced, global organisation. Occasional UK or overseas travel may be required to support business operations.


Responsibilities

The scope of the role will grow with experience. Tasks will be varied, demanding flexibility and a proactive ‘have a go’ attitude. Key activities may include:

  • Drafting increasingly complex legal documents / contracts from existing templates, precedents, or senior guidance (e.g., extension of loan facilities, intercompany agreements).
  • Supporting the Company Secretary in day-to-day administration, including:
    • Drafting and reviewing corporate/core documents (e.g., board meeting minutes, annual general meeting (AGM) resolutions).
    • Preparing meeting materials for corporate governance purposes.
  • Analysing legal provisions (such as those in Shareholder Agreements) and assisting in drafting business advice on interpretation.
  • Junior transaction support, including drafting confidentiality agreements, ancillary documents, and post-transaction filings.
  • Researching and assisting with Local Content matters.
  • Supporting liquidation processes for selected group entities in collaboration with internal/external teams, ensuring deadlines are met.
  • Maintaining corporate databases (e.g., content uploads).
  • Handling filings with Company Registrars globally, tracking progress and ensuring compliance.
  • Managing board meetings (agendas, minutes, notices, resolutions) and maintaining records.
  • Coordinating with cross-functional teams to integrate legal advice and input into projects.
  • Preparing/reviewing legal documents for signature and coordinating signatories.
  • Supporting compliance with:
    • Market Abuse Regulation (MAR).
    • Listing rules, including managing insider lists and drafting standard stock exchange announcements.
  • Conducting research and advising on governance, legal and regulatory obligations.

Experience & Requirements

The ideal candidate will prove:

✅ Qualified lawyer (preference for UK, but other jurisdictions acceptable). ✅ Commercially minded with a strong grasp of Contract Law and ability to draft legal/contractual documents. ✅ Transaction management experience ( предпочтительно но не обязательно – merger and acquisition exposure is desirable). ✅ Proficient in MS Office Suite: Word, Excel, PowerPoint. ✅ Excellent communication skills – both verbal and written – with the ability to:

  • Build and maintain business relationships at all levels.
  • Translate legal advice to non-legal stakeholders. ✅ Ability to engage, influence and negotiate across diverse stakeholder groups. ✅ Adaptable and flexible to meet a 24/7 global business environment. ✅ High attention to detail with superior analytical skills. ✅ Reputable report writing and presenting expertise. ✅ Strong planning and organisation skills to manage multiple deadlines (often conflicting).
