YOUR IMPACT
We are seeking a Chartered Company Secretary (6–12 years’ experience) or qualified corporate lawyer (3–6 years’ post-qualification) to join the Goldman Sachs UK Corporate Governance Team (CGT) within the EMEA Legal Division, based in Birmingham.
The CGT comprises five professionals—three in London, and two in Birmingham, led by a senior lawyer. This team is responsible for the corporate administration of Goldman Sachs UK entities and branches, as well as several overseas entities, including those in the Middle East. This includes regulated UK companies and overseeing Boards and Board committees.
This role requires strong technical expertise, independent judgment, and the ability to influence at senior levels. The ideal candidate will manage a diverse and complex workload, meet tight deadlines, support junior team members, and thrive in a high-pressure environment focused on delivering high-quality legal services.

Responsibilities
- Senior company secretarial services for all Goldman Sachs UK entities, branches, and key overseas entities:
- Preparing agendas and supporting documentation for board and committee meetings.
- Minuing board and committee meetings.
- Providing expert advice on corporate governance and regulatory compliance (UK Companies Act, PRA, FCA requirements).
- Mentoring and culture carrier role for the Birmingham CGT team, fostering growth among junior colleagues.
- Collaboration with the head of the CGT to uphold standards of accountability, quality, and performance across the team.
- Real-time governance advice to a range stakeholders, including complex/sensitive matters.
- Internal and external partnerships with Risk, Compliance, Executive Office, and other divisions to ensure boards run smoothly.
- Advising and overseeing corporate actions, including:
- Director appointments and replacements.
- Capital transactions and accounts approvals.
- Entity establishment or closure.
- Records management:
- Maintaining entity and director records.
- Assisting with Companies House filings and PSC registers.
- Response to governance information requests, including regulatory, audit, and transactional requirements.
- Providing secretary’s certificates, negotiating powers of attorney, and handling execution of documents.
- Identifying and implementing corporate governance developments and process improvements, including:
- Technology adoption (e.g., AI).
- Process streamlining and global alignment.
- Developing and maintaining policy documentation.
- Monitoring and liaising with external counsel, notaries, and senior colleagues across the firm.

Skills & Experience
Qualifications & Experience:
- Chartered Secretary (ACIS/FCIS) with 6–12 years’ experience, or qualified corporate lawyer with 3–6 years’ PQE.
- In-depth knowledge of the UK Companies Act 2006, PRA/FCA requirements, and corporate governance principles.
- Experience managing multiple regulatory entities and company secretarial functions.
Technical & Professional Competencies:
- Proficiency in technical governance matters, with strong problem-solving judgment.
- Experience with global governance arrangements across diverse entities.
- Expertise in board and committee operations, including agenda preparation, board packs, and meeting liaison.
- Hands-on entity management experience.
- Familiarity with Diligent, e-filing systems, and other ** Companies House platforms**.
