Global Legal Counsel at Chemelex

About the Role

This is an exciting opportunity to join Chemelex at a transformative stage of its growth as a private equity-backed portfolio company. We are building a practical, business-minded Global Legal & Compliance Team that supports strategic priorities, protects the company, and enables smarter, faster execution.

We are seeking an energetic, curious, and agile Legal Counsel to report directly to the VP, General Counsel. This is far broader than a contracts role—it’s a true in-house counsel position for someone who wants to be a trusted advisor, commercial partner, and scalable legal captain across EMEAI, Asia, and North America.

Key Responsibilities

  • Legal Advisory:

    • Serve as a practical legal advisor to senior leaders in EMEAI, helping them identify risks, make data-driven decisions, and advance strategic objectives.
    • Draft, review, and negotiate commercial agreements, including customer, supplier, subcontractor, procurement, and project-related contracts.
  • Commercial & Project Commerce:

    • Partner with Sales, Procurement, Estimating, Finance, Project Management, HR, and Operations to support proposals, contract negotiations, project execution, and risk management.
    • EPC, industrial, oil & gas, data center, and complex project experience is a major advantage.

  • M&A & Corporate Governance:

    • Support M&A activity, including due diligence, transaction execution, post-closing integration, entity alignment, legal diligence, and strategic portfolio decisions.
    • Assist with corporate governance, restructurings, internal policies, board requests, and sponsor-related matters.
  • Intellectual Property & Compliance:

    • Advisor on IP ownership, licensing, R&D collaborations, trademark/patent disputes, and brand protection.
    • Support compliance programs, cross-border legal alignment, and training initiatives to scale the function.
  • Employment & Dispute Resolution:

    • Work alongside HR to address employment law matters, investigations, contract administration, and regional compliance.
    • Manage customer claims, warranties, disputes (including liens, financial guarantees, insurance certificates, bonds, and letters of credit).
  • Legal Process & Team Development:

    • Lead legal process improvements, develop playbooks, and foster collaboration with external counsel.
    • Enhance the Global Legal & Compliance function, ensuring it scales alongside business growth.

Core Qualifications

Legal Expertise

  • Law degree from a top civil/common law jurisdiction with strong analytical and practical advisory skills.

  • 4+ years of legal experience, with preference for in-house, multinational environments (e.g., industrial, manufacturing, EPC, oil & gas, technology, or private equity portfolio companies).

  • Law firm/private practice experience (preferred), with deep exposure to:

    • Commercial contracts (drafting, negotiation, risk assessment).
    • M&A, restructuring, corporate governance, and transactional workstreams.
    • Employment, IP, and dispute resolution (helpful).
  • Industry-Specific Strengths:

    • Experience in commodities, energy tech, automation, or infrastructure is a significant asset.
    • Working knowledge of EPC contract structures, technology licensing, employment litigation, or warranty analysis.
    • Familiarity with industry standards (e.g., insurance claims, bond principles, dispute modes).
  • Broken Communication & Cultural Fluency:

    • Fluent in English; German, French, or Spanish speaking is a bonus.
    • Ability to travel occasionally for key engagements (regional and international).
