Legal Counsel
Legal Counsel – Global (EMEAI) – Private Equity-Backed Company

We are seeking an energetic, agile, and commercially minded Legal Counsel—not just a contract lawyer, but a trusted advisor who partners with senior leadership across EMEAI, Asia, and North America. Reporting directly to the VP General Counsel, this role spans:
- Commercial contracting & project execution
- M&A & integration activities
- Corporate governance, IP, compliance, and disputes
- Employment law & global business support
The ideal candidate enjoys ownership and variety, thrives in a high-impact industrial/tech environment, and brings direct exposure to complex commercial relies on projects, particularly in EPC, industrial, oil & gas, or data centers.
What You Will Do

Strategic Business Advisory:
- Act as a practical legal consultant for business leaders across EMEAI, helping them identify risk, make informed decisions, and advance commercial priorities.
- Translate complex legal requirements into clear, actionable guidance for senior stakeholders.

Commercial Contract Management:
- Draft, review, and negotiate customer, supplier, subcontractor, procurement, and project agreements.
- Work closely with Sales, Procurement, Finance, Project Management, HR, and Operations to support proposals, negotiations, and risk mitigation.

M&A & Corporate Affairs:
- Due diligence & transaction support (External Company Reviews, disclosure schedules, document reviews).
- Post-closing integration including entity alignment, legal diligence, compliance audits, and PE-specific governance.

IP & Technology Protection:
- Handle IP ownership, licensing agreements, invention disclosures, patent/ trademark portfolio coordination, and R&D collaborations.
- Support IP diligence in transactions and brand protection initiatives.

Employment & Legal Risk:
- Partner with HR in workplace investigations, global employment law, policy interpretation, and employee relations.
- Navigate regional labor compliance while ensuring alignment with HR.

Claims, Disputes & Litigation Assitance:
- Manage customer claims, warranty disputes, financial guarantees, liens, letters of credit, bonds, and insurance certificates.
- Work with external counsel when specialized support is needed.

Legal Process Development:
- Develop standardized workflows, playbooks, and templates to support the Legal Team’s global scaling.

Collaboration & Compliance:
- Coordinate with internal and external teams on cross-functional legal/compliance projects.

Requirements & Experience

Qualification:
- Law degree (civil or common law jurisdiction) with strong academics.
- Ability to deliver practical, business-aligned legal solutions.

Experience:
- 4-7 years of relevant legal experience, with in-house or private practice exposure.
- Strong preferences for:
- Industrial, manufacturing, EPC, oil & gas, or infrastructure sectors.
- Private equity portfolio company or transaction-rich environments.
- Commercial contracts (drafting, review, negotiation).
- Direct M&A and due diligence involvement.
- Optional but beneficial:
- Employment law (collaboration with HR, regional compliance).
- IP portfolio coordination (patents, trademarks, licensing).
- Dispute administration or claims resolution experience.

Key Skills:
- Outstanding communication, negotiation, and stakeholder management.
- English fluency (German, Spanish, French preferred).
- Travel-ready: Willing to travel regionally and internationally as needed.
