Legal Counsel

Description

The Legal Counsel is part of our Global Corporate Finance & Legal team, which is the beating heart of all financial management and operations at Human8. Our teams are currently based in Ghent (Belgium), Munich (Germany), Manchester (UK) and Timisoara (Romania). The Legal Counsel, together with the co-located team, will further strengthen and build our rapidly growing Corporate Finance & Legal team.

The Legal Counsel will take a unique position of taking ownership in overseeing all legal aspects of our business, will handle both internal and external legal concerns and will effectively ensure legal conformity and minimize probability of exposure.


Key Responsibilities

  • Corporate Housekeeping: Maintaining statutory records, managing corporate filings, ensuring compliance with corporate governance requirements, and supporting board and shareholder processes. Drafting of minutes of decisions taken by shareholders or board of directors.
  • Contract review and negotiations: Perform initial review of agreements (clients, suppliers, labour, partnership, lease, etc.) and negotiate with third parties or align with internal stakeholders.
  • Legal Research & legal documentation: Conduct legal research to support the head of legal in analyzing and interpreting (new) laws, regulations, and case precedents relevant to Human8. Assist in the review and preparation of legal documents (Memo’s, templates of agreements and terms and conditions).
  • Provide Legal Advice: First contact point for ad hoc questions from the business. Provide advice on straightforward matters, but under the supervision of the head of legal.
  • Legal Training: Assist in the training of employees on legal and compliance matters, help to understand and adhere to legal requirements.
  • Continuing Education: Stay up to date on changes in the law, legal trends, and best practices by participating in professional development and legal education opportunities and provide necessary input to the head of legal.

Skills, Knowledge and Expertise

  • Degree in Law, or a similar relevant field.
  • 4-5 years of proven experience as a Legal Counsel in a business environment.
  • Proficient in English, both spoken and written.
  • Excellent knowledge and understanding of corporate law and commercial law.
