In-House Legal Associate – Funds & Compliance

The role at Pantheon is to provide in-house legal advice and support across Pantheon’s diverse investment strategies, including secondaries, co-investments, primaries, and structured capital solutions.

Key Responsibilities

Fundraising Support

  • Assist in establishing Pantheon funds and coordinating fundraising efforts:
    • Advise on fund structuring and legal drafting/review
    • Prepare/finalise critical fund documentation (e.g. LPAs, PPMs, side letters)
    • Coordinate investor closings and ongoing compliance
  • Manage segregated account programmes, including:
    • Negotiating and drafting term sheets, investment management agreements, and limited partnership documents
  • Collaborate with:
    • Internal teams (marketing, investor relations)
    • External counsels, fund administrators, independent board members
  • Maintain checklists for fund launches and operational due diligence.

Corporate & Regulatory Compliance

  • Support Compliance team on UK/european fund regulations, particularly:
    • AIFMD filings and marketing passports
    • Implementation/new legislation on fund structuring, structuring, and operations
  • Interpret and apply UK/EU legal frameworks related to:
    • Fund structuring
    • Capital markets rules
    • Client agreements
  • Draft/negotiate commercial contracts with providers (including service agreements, Statements of Work)
  • Educate in-house teams on legal/compliance boundaries and risks
  • Guide/ex עם external counsels in aligning their practices with Pantheon's requirements
  • Liaise with regulatory authorities and global compliance entities

Investment & Deal Support

  • Support investment divisions in:
    • Primaries, secondaries, co-investments, infrastructure
    • Ensuring compliance with NDA, fund/transaction terms (legally-vetted diligence)
  • Prepare and maintain investment-above-specific checklists

Requirements

Qualifications

✅ Minimum-level A-Level (or equivalent) ✅ One of:

  • Law degree or
  • Undergraduate degree + Graduate Diploma in Law (GDL) ✅ Qualified Solicitor (England & Wales) ✅ Current practising certificate + commitment to annual solicitor development requirements (SRA declarations)

Experience

✅ 3+ years’ recent client-facing experience demonstrating transactional skills ✅ Focused on private markets ✅ Must have trained at a Top 10 UK/Equivalent law firm or held an in-house role in fund domiciling/legal matters
