Mergers & Acquisitions (M&A) Attorney – Contract Role

Role: M&A Attorney

Location: Remote (Work from Anywhere) Job Type: Contract Payout: $80 – $105/hour

About the Role

We are hiring for one of our clients, a reputable organisation, seeking a M&A Attorney to work on a contract basis. The role involves:

  • Providing legal expertise in mergers, acquisitions, and corporate transactions
  • Drafting, negotiating, and reviewing critical transaction documents
  • Ensuring compliance with legal and regulatory frameworks

Key Responsibilities

  • Draft, review, and negotiate:
    • Mergers and acquisitions agreements
    • Purchase agreements (including asset and stock purchase agreements)
  • Conduct due diligence on target entities, including:
    • Identifying legal risks and liabilities
    • Scoping governance and compliance exposures
  • Offer legal advice on:
    • Corporate governance, compliance, and regulatory matters
    • Structuring intricate transaction terms
  • Collaborate with cross-functional teams (finance, tax, operations) to:
    • Align legal strategies with operational objectives
    • Streamline transaction execution
  • Ensure all documentation adheres to legal standards, reducing potential liabilities.

Required Skills & Qualifications

  • Juris Doctor (JD) degree from an accredited law school
  • Active state bar membership with minimum 3 years of M&A experience
  • In-depth knowledge of:
    • Corporate law
    • Securities regulations
    • Contract drafting
  • Experience with domestic and cross-border M&A transactions
  • Strong analytical abilities for:
    • Deciphering complex legal documents
    • Pinpointing critical legal issues
