Mergers & Acquisitions (M&A) Attorney – Contract Role
Role: M&A Attorney
Location: Remote (Work from Anywhere) Job Type: Contract Payout: $80 – $105/hour
About the Role
We are hiring for one of our clients, a reputable organisation, seeking a M&A Attorney to work on a contract basis. The role involves:
- Providing legal expertise in mergers, acquisitions, and corporate transactions
- Drafting, negotiating, and reviewing critical transaction documents
- Ensuring compliance with legal and regulatory frameworks
Key Responsibilities
- Draft, review, and negotiate:
- Mergers and acquisitions agreements
- Purchase agreements (including asset and stock purchase agreements)
- Conduct due diligence on target entities, including:
- Identifying legal risks and liabilities
- Scoping governance and compliance exposures
- Offer legal advice on:
- Corporate governance, compliance, and regulatory matters
- Structuring intricate transaction terms
- Collaborate with cross-functional teams (finance, tax, operations) to:
- Align legal strategies with operational objectives
- Streamline transaction execution
- Ensure all documentation adheres to legal standards, reducing potential liabilities.

Required Skills & Qualifications
- Juris Doctor (JD) degree from an accredited law school
- Active state bar membership with minimum 3 years of M&A experience
- In-depth knowledge of:
- Corporate law
- Securities regulations
- Contract drafting
- Experience with domestic and cross-border M&A transactions
- Strong analytical abilities for:
- Deciphering complex legal documents
- Pinpointing critical legal issues
