Role Overview
We are hiring for one of our clients, seeking a M&A Attorney to work on a contract basis. The role involves providing legal expertise in mergers, acquisitions, and corporate transactions.
- Responsibilities include drafting and negotiating transaction documents while ensuring compliance with regulatory requirements.
Key Responsibilities
- Draft, review, and negotiate:
- Mergers and acquisitions agreements
- Purchase agreements
- Asset purchase agreements
- Stock purchase agreements
- Conduct due diligence on target entities, identifying legal risks and liabilities.
- Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
- Coordinate with cross-functional teams (finance, tax, operations) to facilitate transaction execution.
- Ensure all transaction documentation adheres to legal standards and mitigates potential liabilities.

Required Skills & Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in a state bar association with a minimum of 3 years of experience in M&A transactions.
- Strong understanding of:
- Corporate law
- Securities regulations
- Contract drafting
- Experience with both domestic and cross-border M&A transactions.
- Ability to analyze complex legal documents and identify critical issues.
