Manager / Associate Director, Special Situations M&A

The Role

The Special Situations M&A team is part of Capital Advisory within Teneo Financial Advisory. The team provides tailored M&A solutions across stressed, distressed, and insolvent/bankruptcy situations. We pride ourselves on both maximizing value and delivering deal certainty in challenging conditions.

Since its inception in 2008, the team has completed over 150 transactions, spanning a wide range of sizes (typically £5m to £200m), sectors, and situations. We are currently seeking a Manager / Associate Director to join our dynamic and successful team.

Key Responsibilities

Client Service

  • Advise on sell-side and buy-side transactions; manage day-to-day engagement while supporting Senior Managing Directors/Managing Directors/Directors in client advisory and external stakeholder management.
  • Oversee preparation and delivery of information memoranda, management presentations, and valuation analysis. Be responsible for client communications and ensure client-ready information is provided.
  • Act as the project team’s lynchpin, communicating timelines and strategy to junior staff and managing project workflows as the primary contact for day-to-day operations.
  • Support management teams in creating and challenging business plans, short-term cash flow forecasts, and Financial Advisory strategies, taking ownership of the accuracy of the financial data provided.
  • Lead buyer engagement, manage research due diligence, and anticipate critical questions from buyers. Provide analysis in advance while challenging client explanations where necessary (including complex issues).
  • Assist in negotiating with buyers and liaise with the Company’s legal advisors to comprehend key SPA/APA issues and how commercial terms affect transactions.
  • Develop and present Financial Advisory options using input from relevant specialist teams.
  • Prepare engagement letters, highlight key discussion points, and maintain compliance standards throughout the project lifecycle.
  • Ensure adherence to Quality Risk Management processes, consulting senior team members and compliance functions as needed.
  • Apply understanding of engagement economics, financial and risk management strategies.

Knowledge Acquisition

  • Build client relationship skills, sector knowledge, and leadership capabilities.
  • Expand technical expertise in corporate finance, business advisory, and people management.
  • Develop market, industry, and Teneo service line awareness.

  • Support the practice’s talent development and onboard staff effectively.
  • Provide coaching and mentoring with a commitment to continual learning.
  • Mentor junior staff outside direct job scope and participate in appraisal discussions.
  • Support wider training initiatives of the Financial Advisory function.
  • Lead diverse teams while fostering an inclusive work environment that values contributions.
  • Assess strategies for managing diverse teams and promoting solutions.
  • Demonstrate understanding of Teneo’s commitment to inclusive culture-building.

Business Development

  • Stay informed on topical issues in the Special Situations M&A space, actively engaging with discussions in client, internal, and networking meetings.
  • Take ownership of business development activities including proactive deal origination, researching, and expanding an industry-specific contact network.
  • Work with senior colleagues on client retention and marketing/sales initiatives.
  • Identify opportunities to pivot Teneo services for existing clients.

Key Skills & Experience

  • Relevant Financial Advisory experience, ideally within M&A advisory, consultancy, or investment banks (or as a debt/investor special situations professional).
  • Strong understanding of corporate finance and M&A advisory, with expertise (or theoretical interest) in special situations, including:
    • Expertise in insolvency mechanisms, alternative approaches, and transaction delivery (e.g., pre-packs, administrations).
    • Proficiency in debt markets, loan agreements, historical financial performance, and sectors’ future outlooks.
  • Ability to craft and tailor innovative M&A strategies for any transaction.
  • Excellent financial acumen with critical attention to detail; the ability to rapidly assimilate and interpret complex data.
  • Strong analytical and commercial/operational diagnostic skills.
  • Assertive communication, adaptability, and ability to build effective working relationships in diverse teams.
  • Strong presentational, teamwork, and interpersonal skills.
  • Methodical problem-solving and high-level project management competence, with leadership and mentorship experience in a team environment.
  • Skills for diverse financial/commercial insight in client report preparation.
  • Proven business development and pitching abilities.
  • English fluency in written and verbal communication.
