Special Situations M&A Manager / Associate Director

The Role

The Special Situations M&A team is part of Capital Advisory within Teneo Financial Advisory. The team delivers bespoke M&A solutions across stressed, distressed, and insolvency/bankruptcy situations, focusing on maximising value and delivering deal certainty in challenging environments.

Since its launch in 2008, the team has completed over 150 transactions, ranging from £5m to £200m+, across diverse sectors and geographies. Teneo is now seeking a Manager / Associate Director to join our rapidly growing and successful operation.

As a Manager / Associate Director, you will:

  • Lead high-value, complex engaged across all sectors.
  • Lead workstreams, manage junior teammates, and collaborate with Directors, Managing Directors, and Senior Managing Directors in client-facing execution.
  • Offer strategic advisory to boards, investors, and distressed companies.

Our sector-agnostic team advises UK-based businesses with underperformance, financial distress, or complex transactions, covering three core offerings:

  • Accelerated M&A (deals typically completed in 9 days to 9 weeks)
  • Non-Standard M&A (tailored solutions for distressed businesses, including carve-outs, leveraged buyouts, and debtor-in-possession OBIs)
  • Strategic M&A Advisory (restructuring M&A strategy options)

Key Responsibilities

Client Service

  • Provide end-to-end advisory on sell-side and buy-side transactions, managing daily execution with Senior Managing Directors/Managing Directors.
  • Oversee information memoranda, pitch books, valuations, and regulatory compliance throughout transactions.
  • Drive deal timelines and process strategy, acting as the principal point of contact for day-to-day operations.
  • Assist clients in preparing and challenging business plans, cash flow forecasts, and financial strategies.
  • Lead negotiations with buyers, coordinate due diligence, and anticipate critical buyer inquiries.
  • Draft term sheet adjustments, engagement letters, and compliance documents.
  • Evaluate transaction economics and oversee Quality Risk Management processes.

  • Build sector expertise and leadership skills.

Business Development

  • Develop market awareness for Special Situations M&A in the UK.
  • Take ownership of client relations, deal origination by researching industries and expanding contact networks.
  • Contribute to client engagement, branding, and marketing efforts led by Senior Directors.
  • Identify cross-selling opportunities with Teneo’s broader services.

Key Skills & Experience

  • Proven M&A Advisory experience, preferably in corporate finance consultancy, investment banking, or special situations funds.
  • Deep expertise in Corporate Finance, with practical knowledge of insolvency, rescue financing, restructuring, and distressed asset transactions.
  • Understanding of deal structuring (shares vs. assets, pre-packs vs. ad hoc administrations) and legal/commercial intricacies.
  • Strong financial diagnostics skills with the ability to analyze, forecast, and challenge business models.
  • Impeccable numeracy, attention to detail, and data-driven decision-making.
  • Technical and commercial acumen—ability to challenge clients globally while securing positive client outcomes.
  • Excellent stakeholder management, presentation, and negotiation skills.
  • Project management and team leadership experience.
  • Track record in business development versus securable clients.
  • Proficiency in fluent oral/written English (mandatory).
