The Role
Join Teneo Financial Advisory’s Special Situations M&A team, part of Capital Advisory, where we specialise in delivering tailored M&A solutions across stressed, distressed, and insolvency situations. We succeed by maximising value and delivering certainty in challenging environments.
Since 2008, we’ve completed over 150 transactions across a spectrum of sizes (typically £5m to £200m), sectors, and challenges. Open applications exist for a Manager / Associate Director to join this growing, successful team.
In this diverse and high-stakes role, you’ll:
- Lead and contribute to innovative M&A engagements across all sectors.
- Take ownership of workstreams, manage junior colleagues, and support senior leaders in driving client-facing delivery.
- Advise boards, investors, lenders, and management teams facing complex financial challenges—where precision and frustration-solving are key differentiators.

The Core Offering
We specialise in:
- Accelerated M&A (9-day to 9-week transactions).
- Non-Standard M&A – disrupting underperforming markets with custom strategies (e.g., carving out non-critical assets or supporting lenders’ economic ownership).
- Strategic Advisory – clients seeking restructuring clarity, restructuring options, or bespoke acquisition strategies.
Key Responsibilities
Client Service
Operate as a strategic partner across transactions, triple-checking delivery:
- Lead sell-side/buy-side projects, managing day-to-day activities and supporting senior leadership for stakeholder relationship management.
- Prepare Information Memoranda (IMs), management presentations, valuation analysis, and draft client communications.
- Coordinate the design execution pipeline—internal liaison plus tackling deliverables for the project’s heartbeat tasks.
- Demand-based intervention: Manage business plans, cash-flow forecasts, and Financial Advisory insights, verifying of client data accuracy.
- Negotiate with buyers/investors: run due diligence and preempt negotiating risks via rigorous analysis (including legal reviews e.g., SPAs/APAs and commercial implications).
- develop bespoke solutions (strip-mining finance/insolvency insights; sector/financial modelling) and present pathways forward.
- Draft engagement letters, flag compliance risks or critical terms.
- Enforce Quality Risk Management cross engahmen (e.g., initial deliberations to sign-off closure).
- Monitor engagement economics (case budgeting, risk, financial fairness).

- Talent / practice support: shape coaching/mentoring to accelerate associate growth, refine training, and recognises diverse team-members’ contributions.
- Trigger inclusive practices, troubleshoot coordination challenges, and represent compliance/ propiedad in high-stakes teams.
Business Development
- Integrate market savviness: discuss ongoing Special Situations shifts.
- Take early ownership of BD initiatives:
- Research industry networks; channel development.
- Craft content elevation for engagement strategies and senior outreach.
- Proactive around add-ons (growth development of existing clients).
- Shresholding entries & covenant triggers to identify recurring clients.
Key Skills & Experience
Preferred Background Experiences:
- Practical career in Financial Advisory, M&A, restructuring consulting within
- Professional services firms,
- Investment banking context (SPV-focused debt specialization/huddle-structuring) OR
- Experience as a special situations investor/alternative acquisition sponsor,
- Special Situations M&A combat-readiness or deep interest.
- Academic/framework skills:
- Honed understanding of insolvency / pre-packaged alternatives, debt markets, and documentation.
- Deal structuring knowledge (e.g., share VS asset deals, prepackaged sales VS ‘stable’ exchanges).
- M&A advisory ecosystem mastery (buyers/users).
- Non-stereotype deal execution (Tailored and Technology-based Analysis/Strategy).
