As you may already know, Syensqo is the newly established standalone company resulting from the recent spin-off of Solvay. While both organizations are in the process of finalizing the transition, some email communications related to your recruitment process may continue to come from Solvay.
About the Role
We are looking for: A number of M&A Manager(s) to reinforce the M&A team of Syensqo. The M&A Manager will report to the Head of M&A who reports to the Chief Strategy Officer.

Key Responsibilities
- Project Management: The M&A Manager will be in charge of acquisition, divestment and joint-venture projects from project launch until signing and closing of the transaction(s).
- Business Modeling and Financial Evaluation: Conducting business modeling and financial evaluation of companies in the context of mergers, acquisitions, divestment and joint-venture projects.
- Project Coordination: Overall coordination of the project team throughout the project lifecycle (set up of the team and the overall timeline, team animation and team monitoring).
- Deliverable Management: Preparation, supervision and review of the various internal and external deliverables (Teaser, Information Memorandum, Business Plan, Deal Structuring Plan, Carve-Out Matters, VDD, Virtual Data Room preparation and review, review of SPA and Ancillary Agreements…).
- Advisor Coordination: Identification and coordination of the external advisors (investment banks, M&A boutiques, strategy consultants, transaction services consultants, tax advisors…).
- Stakeholder Coordination: Coordination of all internal stakeholders throughout the project: business teams, finance teams and representatives of the various corporate functions and shared services centers of the Group (tax, treasury, accounting, environmental…).
- Legal Collaboration: Close collaboration with the M&A, Antitrust and Trademark Corporate Counsel and his team on all legal aspects of the transaction (due diligence, negotiation, contractual aspects, closing process…). The M&A Manager will participate in the entire negotiation process for the transaction(s) under his (her) responsibility.
- Recommendation Presentation: Presentation of recommendations to the senior management of the Group.

Requirements
Education and Experience
- Degrees: You own a Master Degree (in General Management, Business Administration or Law), with an extra degree earned in the field of Finance and Accounting.
- Professional Experience: You are a professional in equity-related operations (mergers, acquisitions, divestments and joint-venture projects).
- Minimum Experience: You have a successful experience of min. 6 years gained within (i) a corporate M&A team of an industrial company (ideally in the chemicals industry, or at least manufacturing), and/or (ii) a transaction services team of a recognized audit firm, and/or (iii) an investment banking desk of a leading banking institution.

- French: French is a plus.
Additional Information
- Travel Requirements: Ability and willingness to travel up to 30% of the time (including overnight stays) throughout different time zones.

- Integrity and Confidentiality: This position requires a certain level of integrity, confidentiality, loyalty and trustworthiness as you will have access to Syensqo's most sensitive information or systems in the context of your mission.
