Summary:

Gibson Dunn is a leading global law firm, advising clients on significant transactions and disputes. Based in London, the Paralegal will be responsible for providing comprehensive legal and administrative support for the firm’s market leading Transportation & Space Group (“TSG”), in particular aircraft, ship, satellite and other asset financing and leasing transactions, including drafting and managing finance and security documents, conducting due diligence, coordinating registrations and filings, using AI-assisted due diligence and document review tools and assisting with transaction signings, closings and post-closing requirements.

Responsibilities:

  • Assist lawyers in all phases of asset finance and leasing transactions.
  • Perform various day-to-day matter management tasks.
  • Coordinate and assist with preparation of finance, security and leasing documents and ancillary transaction documents, including conditions precedent, board minutes and the maintenance of corporate records for transaction entities.
  • Conduct legal and title due diligence, including asset and security registry searches, managing the virtual data room and preparing diligence reports and checklists.
  • Prepare and maintain conditions precedent and closing checklists and transaction bibles and coordinate registrations and filings with Companies House, asset registries and the International Registry.
  • Track and manage post-closing deliverables and deadlines, including scheduling key events.
  • Support transaction closings, including preparing signature packets, managing execution via DocuSign and assembling final executed documents and client-facing closing binders.
  • Liaise with clients, lenders, lessors, counterparties, internal teams and external advisers.
  • Conduct legal and company research and prepare research notes and summaries to support the team’s advice.
  • Supporting the expansion of responsible use of AI tools on transactional matters.
  • Assist with the preparation of pitches and business development materials.
  • Other tasks and responsibilities as assigned by TSG team members.

Qualifications:

  • Excellent organisational skills with strong attention to detail.
  • Flexible and able to multitask while balancing competing priorities and tight deadlines.
  • Proactive, with the ability to efficiently manage multiple projects and client matters.
  • Strong written and verbal communication skills.
  • Excellent analytical and reasoning abilities.
  • Ability to work independently and as part of a team.
  • Willingness to work additional hours, including evenings and weekends, as transaction demands require.

Experience:

  • Bachelor’s degree.
  • Preferable to have relevant experience as a Paralegal or Legal Assistant within an asset finance, banking and finance or other legal transactions context, or otherwise a demonstrable interest in a career in similar areas of the law.
  • Proficient with Microsoft Word, Excel, Outlook and Adobe Acrobat. Familiarity with document management systems (e.g. iManage) and virtual data room platforms is an advantage.
