The Team: Commercial First
The Legal team goes beyond traditional legal boundaries. We:
- Align tightly with business teams across Private Credit, Energy, and Distribution, providing guidance on:
- TACTICAL transaction decisions
- RESTructuring symphonies
- STRATEGIC initiatives
- Prioritise commercial mindsets and problem-solving—succinctly, effectively
- FULFIL a crucial supporting role in growth and expansion projects
- WORK in partnership with the Legal Operations & Compliance team to streamline processes, improving efficiency and knowledge-sharing
The Role: Catalysis in Transactions
You’ll be a key contributor in handling and transaction support within our Private Credit business. Advance your game with exposure to major financings while:
Core Transaction Support Focus Areas
🔹 Transactional document management
- Review and area check loan agreements, leases, and finance documents within Private Credit
- Draft ancillary documents, including (but not limited to):
- Waiver letters
- Side-letter agreements
- Reservation of rights letters
- Q&A responses related to financing documentation
🔹 Security & liability frameworks
- Prepare insightful guarantee and security documentation
- Manage release, restructuring, and amendments

🔹 Transaction Process Stewardship
What you’ll oversee: ☑ Satisfaction of conditions precedent (monitor, track, escalate) ☑ Interaction between stakeholders—delivery continuity among customers, jurisdictions, and internal teams ☑ Day-to-day execution, follow-through, and due diligence
🔹 Learning & Leadership
- The opportunity extends beyond administration—user your contribution to support role-driven improvements in:

Key Responsibilities
Transaction Support
- riview and edit core contract texts for loan, lease, and other financing instruments
- Draft related documentation (intract wording, releases, guarantees)
- Assume transaction lifecycle ownership beyond conclusion, supporting post-liquidity events (securities, tax, reporting)
- Coordinate security registrations tracking assignment/notices
- Raise motion where borrowers/client-external counsel raises deal structure red flags or risks
- Be an interface between internal ( }// development teams') and external stakeholders for critical transactional clarity
Legal Operations & Commercial Support
