Private Equity Associate (1-5PQE) | International Law Firm | London
An international law firm is seeking a Private Equity Associate to join its highly regarded corporate practice in London.
The successful candidate will advise the firm's clients across the full investment lifecycle, working on complex UK and cross-border transactions. The role offers significant responsibility, close partner interaction, and direct client exposure within a collaborative, high-performing team.
Key Responsibilities
- Advising on private equity acquisitions, disposals, and portfolio company matters.
- Drafting and negotiating share purchase agreements (locked box and completion accounts), shareholders' agreements, and management incentive documentation.
- Supporting transaction structuring, funds flows, and related corporate matters.
- Preparing and negotiating ancillary transaction documents, including NDAs, disclosure letters, and engagement letters.
- Advising portfolio companies on governance, capital structure, and management equity arrangements.

Ideal Candidate
- 1-5 years' PQE with strong private equity experience.
- Excellent drafting and technical skills.
- Experience managing workstreams and communicating directly with clients.
- A proactive approach and the ability to thrive in a fast-paced, team-oriented environment.
